Terms of Service
This version of these Terms takes effect on 24 October 2026.
Introduction and Definitions
These Terms of Service ("Terms") are an agreement between you and Modelhive Limited, a company registered in England and Wales under company number 12199066, whose registered office is at Flat 18, Eyot House, London, England, SE16 4BN, trading as Lavoop ("Lavoop", "we", "us" and "our"). Lavoop is an online jobs marketplace: it helps Candidates find work and Employers find Candidates, but it does not employ Candidates, supply workers or make recruitment decisions for Employers (Section 4.1). You can contact us as described in Section 11.4.
You accept these Terms when you create an account, by confirming during sign-up that you agree to them. If you use the Services without an account, for example to search for or view Job Listings, these Terms apply to that use, to the extent they are relevant to it. If you do not agree to these Terms, you must not use the Services.
If you accept these Terms on behalf of an organisation, "you" means that organisation, and you confirm that you have authority to bind it (Sections 1.2 and 1.4).
Some parts of these Terms apply differently to consumers and business users, as defined below. Candidates usually use the Services as consumers. Employers are always business users, because Employer Accounts are available only to businesses and other organisations (Section 1.4). Nothing in these Terms affects your legal rights as a consumer (Section 12.1).
Our Privacy Policy and Cookie Policy explain how we use personal data, including in our AI Features; they are not part of these Terms (Section 7.1). Both are available on our website.
Please read these Terms carefully. Sections 9 (fees, subscriptions and refunds), 13 (limits on our liability), 14 (indemnities), 15 (suspension and closing accounts) and 17 (changes to the Services and these Terms) are particularly important.

"Employer Account" means an account used to access the Services as an Employer, as described in Section 1.4.
"Feedback" has the meaning given in Section 2.9.
"Hiring Organisation" means the organisation that will employ or engage the successful Candidate, which may differ from the Employer where a recruitment agency advertises on behalf of a client.

"Third-Party Services" has the meaning given in Section 8.1.

In these Terms, headings are for convenience only and do not affect their meaning; "including" and similar words mean "including without limitation"; references to a Section are to a section of these Terms; references to legislation include that legislation as amended or replaced; and words in the singular include the plural and the other way round.
1. Accounts
1.1 Eligibility
You may use the Services only if you meet the eligibility requirements set out in these Terms. You must be at least 18 years old and have the legal capacity to enter into a binding agreement with us. If applicable law requires a higher minimum age or imposes additional requirements for access to any part of the Services, those requirements will apply.
When you register, you must confirm that you are 18 or over, and we may take reasonable steps to check your age. If we have reason to believe that a user is under 18, we may suspend or close the relevant account as described in Sections 15.2, 15.3 and 15.5.
You may not use the Services if you are, or are owned or controlled by, a person subject to sanctions imposed by the United Kingdom, or if your use of the Services would breach UK sanctions law.
You must provide accurate, current and complete information when creating and maintaining your account and must not impersonate another person, create a false identity, or misrepresent your affiliation with any individual or organisation. You may not create or use an account if you have previously been suspended, terminated, or otherwise prohibited from using the Services, unless we have expressly authorised you to do so.
You must use the account type and Services appropriate to your role and intended use. Candidates may use Candidate Accounts for legitimate personal job-search and career-related purposes. Employers, recruiters and recruitment agencies may use Employer Accounts only for legitimate recruitment, hiring and related business purposes. If you create or manage an Employer Account on behalf of an organisation, you represent and warrant that you are authorised to act on behalf of that organisation and to accept these Terms on its behalf.
You must comply with all applicable laws and regulations when accessing or using the Services, including laws relating to employment, recruitment, discrimination, privacy, data protection and the use of personal information. We may require you to provide information or complete verification procedures to confirm your identity, authority to represent an organisation, or eligibility to use particular Services.
1.2 Registration
Certain features of the Services require you to create an account. When registering, you must provide information that is accurate, current and complete and must promptly update that information if it changes. You must not provide false, misleading or fraudulent information, impersonate another person or organisation, or create an account using information that you do not have the right to use.
You are responsible for maintaining the confidentiality and security of your account credentials and for taking reasonable steps to prevent unauthorised access to your account. You must not share your password or other authentication credentials with another person or allow another person to access your account, except where the Services expressly provide for authorised users or delegated access. You must notify us promptly if you believe that your account or credentials have been compromised or used without your authorisation.
Unless we expressly permit otherwise, you may not create multiple accounts for the same individual, organisation or purpose, or create additional accounts to circumvent a suspension, termination, restriction or other limitation imposed on your use of the Services. You may not use automated systems, bots or other methods to create accounts or register users without our express permission.
We may allow you to register or access your account using a third-party authentication or sign-in service, such as Google or Apple. If you use a third-party sign-in service, you authorise us to receive and use the information provided by that service as necessary to create and maintain your account. Section 8.2 applies to your use of that service.
If you create an account on behalf of an organisation, you represent that you have authority to do so and to bind that organisation to these Terms. You are responsible for ensuring that any persons you authorise to access an organisation account are properly authorised and use the account in accordance with these Terms. Where our Services provide role-based access, each authorised user should use their own credentials and may only access the information and features permitted by their assigned role.
You are responsible for activity carried out through your account to the extent that such activity results from your actions, your failure to take reasonable security measures, or access that you have authorised. Nothing in these Terms makes you responsible for activity resulting solely from our error, a security incident outside your reasonable control, or other circumstances for which applicable law does not permit us to impose responsibility.
We may require additional verification or authentication information when necessary to protect the security of the Services, verify an account, prevent fraud or abuse, comply with applicable law, or provide particular features or services.
1.3 Candidate Accounts
If you use the Services as a Candidate, you may create and maintain a Candidate Account for the purpose of searching for employment opportunities, creating and maintaining a professional profile, preparing and submitting applications, communicating with Employers and recruiters, and using other career-related features that we make available.
You are responsible for the information and materials you provide through your Candidate Account, including your profile, CVs or resumes, employment history, education, qualifications, skills, certifications, job preferences, application materials and communications. You must ensure that information you provide is accurate, current and not intentionally misleading. You must not include information that you do not have the right to provide or use, or submit another person's personal information, CV or other materials without appropriate authorisation.
You may upload, create, modify or maintain one or more CVs or resumes through the Services where those features are available. You are responsible for reviewing your CV, resume and other application materials before submitting them and for ensuring that they accurately represent your qualifications, experience and other relevant information.
Depending on the features and settings available to you, you may be able to control whether your profile is private, searchable, discoverable by Employers or recruiters, or otherwise available through the Services. Your visibility settings may not apply to information that you have independently submitted to an Employer or recruiter, including information contained in a job application or communications you have initiated. Information that has already been shared with an Employer or recruiter may continue to be retained or processed by that recipient in accordance with its own policies and legal obligations.
Where a Job Listing directs you to an Employer's own website or system, your application is made there and Section 4.3 applies. You are responsible for reviewing your application before submitting it and for ensuring that the information and materials you submit are appropriate and accurate.
We may provide job search results, recommendations, matches, rankings, alerts or other suggestions based on information available to us, including your profile, CV, preferences, searches, activity and information contained in Job Listings. These features are intended to assist your job search; Section 12.2 explains what we do not guarantee.
Employers make their own recruitment and hiring decisions (Section 4.1).
You may receive communications from Employers, recruiters and us through the Services, including messages relating to applications, interviews, job opportunities, account activity and job alerts. You are responsible for the decisions you make in response to such communications. We do not endorse or guarantee the accuracy, legitimacy or suitability of every communication, job opportunity or representation made by a third party through the Services.
You must use your Candidate Account only for legitimate job-search, career and professional purposes permitted by the Services. You must not use your Candidate Account to submit fraudulent or misleading applications, impersonate another person, misrepresent your qualifications or experience, manipulate recruitment or matching systems, harass or abuse Employers or other users, or otherwise misuse the Services.
Your Candidate Account is personal to you. You may not sell, transfer, assign or otherwise provide your account to another person without our express permission. Where a third party, employer, educational institution, recruitment organisation or other entity pays for or facilitates access to particular Services on your behalf, that arrangement does not by itself transfer ownership of your personal Candidate Account to that third party.
We may restrict, suspend or remove access to particular Candidate Account features where reasonably necessary to protect the Services, investigate suspected fraud or abuse, comply with applicable law, protect other users, or enforce these Terms or other applicable policies.
1.4 Employer Accounts
If you use the Services as an Employer, recruiter, recruitment agency, staffing provider or other organisation seeking to identify, recruit or hire Candidates, you may create and maintain an Employer Account for legitimate recruitment, hiring and related business purposes. Employer Accounts may be used to create and manage Job Listings, search for and review Candidate profiles where permitted, communicate with Candidates, and use other Employer or recruitment features that we make available.
Employer Accounts are available only to businesses and other organisations recruiting in the course of their business, including recruitment agencies finding people for other organisations. Individuals may not use an Employer Account to recruit for personal or household purposes, such as hiring help for their home.
When you create or use an Employer Account on behalf of an organisation, you represent and warrant that you are authorised to act on behalf of that organisation and to accept these Terms on its behalf. You must provide accurate, current and complete information about yourself and the organisation you represent and must promptly update that information when it changes. We may require you to provide information or documentation to verify your identity, your relationship with an organisation, your authority to act on its behalf, or the legitimacy of a recruitment activity or Job Listing.
An Employer Account belongs to or represents the organisation for which it was created. An individual who accesses an Employer Account does so as an authorised user of that organisation and does not acquire personal ownership of the organisation's account, Job Listings, Employer profile or other organisation-controlled content solely by virtue of having access to the account.
Where our Services allow multiple people to access an Employer Account, the organisation may designate authorised users and assign different roles or permissions, including account owners, administrators, recruiters and hiring managers. Each authorised user must use their own account credentials where individual logins are provided and may only access information and features permitted by their assigned role. The organisation is responsible for managing its authorised users and for promptly removing or modifying access when a person is no longer authorised to use the Employer Account.
Employers are responsible for maintaining the security of their Employer Accounts and for taking reasonable steps to prevent unauthorised access. Employers must not knowingly permit unauthorised persons to access their accounts and must notify us promptly if they suspect that an account or user credentials have been compromised. Employers are responsible for activity carried out through their Employer Accounts by authorised users to the extent permitted by applicable law and subject to these Terms.
Employers are responsible for the accuracy, completeness and legality of information they provide through the Services, including Employer profiles, Job Listings, job descriptions, qualifications, compensation information, application requirements, screening questions and other recruitment-related content. Employers must ensure that vacancies advertised through the Services are genuine and that their recruitment activities comply with applicable laws and regulations.
Employers are responsible for their recruitment and hiring decisions and for how they evaluate, communicate with, interview, select or reject Candidates (Section 4.1). Section 12.2 explains what we do not guarantee.
Employers may access and use Candidate information only for legitimate purposes permitted by the Services and applicable law. Employers must handle Candidate information responsibly and comply with all applicable privacy, data protection, employment and other legal requirements. Employers must not use Candidate information for unrelated purposes, sell or otherwise misuse Candidate information, or attempt to circumvent privacy settings or other access controls provided through the Services.
If you use the Services as a recruitment agency, staffing provider or other intermediary recruiting on behalf of a client, you represent that you have the necessary authority to conduct recruitment activities for that client. You must accurately represent your role and, where required, identify the relevant hiring organisation to Candidates. You remain responsible for ensuring that your use of Candidate information and the recruitment services you provide comply with applicable law and your agreements with your clients.
We may require Employers, recruiters or recruitment agencies to complete verification or other review procedures before allowing an account, Job Listing or recruitment activity to become available through the Services. Verification may include confirming an organisation's identity, business information, contact information, domain, authority of an account user or other information we reasonably consider necessary to prevent fraud, misleading Job Listings or misuse of the Services. Completion of a verification process does not constitute our endorsement, certification or guarantee of an Employer, recruiter, Job Listing or recruitment opportunity.
Employers must promptly update information relating to their organisation, account administrators and authorised users and must notify us where appropriate of material changes affecting their authority to use an Employer Account. If an organisation changes ownership, structure or control, we may require additional information or verification before allowing continued access to certain account features.
We may restrict, suspend, remove or terminate an Employer Account, Job Listing, user access or particular Employer features where reasonably necessary to protect Candidates or other users, investigate suspected fraud or abuse, verify an Employer or recruitment activity, comply with applicable law, or enforce these Terms or other applicable policies.
2. User Content
2.1 Definition of User Content
2.1.1 General Definition
“User Content” means any information, material or content that you create, upload, submit, publish, transmit, provide or otherwise make available through the Services. User Content may include text, documents, images, photographs, videos, audio, data, files, profile information, application materials, communications and other materials, whether submitted individually or as part of a profile, Job Listing, application or other feature of the Services.
User Content may be submitted by Candidates, Employers, recruiters, recruitment agencies and other authorised users of the Services. The examples described in these Terms are illustrative and do not limit the scope of the definition of User Content.
2.1.2 Candidate Content
Candidate Content includes information and materials provided by or on behalf of a Candidate through a Candidate Account or in connection with the Candidate's use of the Services, including profiles, CVs or resumes, employment history, education and qualifications, skills, certifications, job preferences, cover letters, application materials, portfolio materials, documents, photographs and other career-related information or content.
2.1.3 Employer Content
Employer Content includes information and materials provided by or on behalf of an Employer, recruiter, recruitment agency or other organisation through an Employer Account or in connection with its use of the Services, including Employer profiles, company information, Job Listings, job descriptions, compensation information, screening questions, recruitment materials, logos, photographs and other content relating to employment opportunities or recruitment activities.
2.1.4 Communications and Interactive Content
User Content also includes communications and other content exchanged or submitted through interactive features of the Services, including messages between Candidates and Employers or recruiters, application-related communications, responses to screening questions, comments, feedback and other information provided through communications or interactive functionality.
2.1.5 Public and Private Content
User Content may be made available to different audiences depending on the feature through which it is submitted, the user's settings, the intended recipient and the functionality of the Services. Some User Content may be publicly available or searchable, while other User Content may be accessible only to the user, selected recipients, authorised users or other limited audiences.
The availability or visibility of particular User Content is subject to the functionality and settings applicable to the relevant Service and does not by itself determine ownership of that content or the rights that may apply to it.
2.1.6 Platform-Generated Content
Content generated by us or by the Services, including recommendations, matches, rankings, classifications, summaries, formatting, structured data and other outputs generated through automated or other platform functionality, is not User Content merely because it is based on or derived from User Content. When a user adds AI Output to their own content, the resulting content is treated as User Content, as described in Section 6.2.
The rights applicable to platform-generated content and to any processing of User Content used to generate such content are addressed separately in these Terms, including the provisions concerning the licence to use User Content and AI-generated or AI-assisted features.
2.2 Ownership of User Content
2.2.1 User Ownership
Subject to the rights of third parties and the other provisions of these Terms, you retain the ownership rights you have in the User Content you submit through the Services. Nothing in these Terms transfers ownership of your User Content to us merely because you submit, upload, publish, transmit or otherwise make that content available through the Services.
2.2.2 Candidate Content
A Candidate retains the ownership rights the Candidate has in Candidate Content that the Candidate creates or submits through the Services, including the Candidate's CV or resume, cover letters, profile information, application materials and other Candidate-created materials.
This does not give a Candidate ownership of information, materials or other content belonging to another person or organisation merely because that information or material is included in the Candidate's User Content.
2.2.3 Employer Content
An Employer, recruiter, recruitment agency or other organisation retains the ownership rights it has in Employer Content that it creates or submits through the Services, including Job Listings, job descriptions, Employer profiles and other employer-created recruitment materials.
This does not give an Employer, recruiter or other organisation ownership of third-party materials merely because those materials are incorporated into or submitted as part of Employer Content.
2.2.4 Ownership of Applications and Communications
Applications, messages and other communications may contain contributions from more than one person or organisation and may incorporate content belonging to different parties.
Each party retains the ownership rights it has in the content it contributes. Nothing in these Terms is intended to transfer ownership of a Candidate's content to an Employer or recruiter, or ownership of an Employer's or recruiter's content to a Candidate, merely because that content is included in an application, communication or other interaction through the Services.
2.2.5 No Transfer of Ownership to Us
Submitting or making User Content available through the Services does not, by itself, transfer ownership of that User Content to us.
The rights granted to us in relation to User Content are addressed separately in Section 2.3 (Licence to Use User Content). Except for those rights and any other rights expressly provided for in these Terms, we do not acquire ownership of your User Content merely because you use the Services.
2.2.6 Our Intellectual Property
The Services and our intellectual property are not User Content. Section 10.2 explains what we own, and nothing in these Terms transfers it to you.
2.2.7 Rights of Third Parties
The ownership provisions in this Section 2.2 apply only to the extent of the rights a user actually has in the relevant User Content and do not override or limit the intellectual-property, privacy, confidentiality or other rights of any third party.
Where User Content incorporates or contains material belonging to another person or organisation, the relevant third-party rights remain unaffected. A user's submission of such material does not, by itself, give that user or us ownership of the underlying third-party material.
2.3 Licence to Use User Content
2.3.1 Grant of Licence
By submitting, uploading, posting, transmitting, or otherwise making User Content available through the Services, you grant us a non-exclusive, worldwide, royalty-free licence to access, use, host, store, reproduce, process, modify, display, perform, distribute, transmit, and otherwise use your User Content to the extent reasonably necessary to provide, operate, maintain, secure, develop, improve, and promote the Services and to provide the features and functionality you request.
You grant this licence to us and, where reasonably necessary to provide the Services, to our Affiliates, service providers, technology providers, contractors, and other authorised third parties acting on our behalf. You also authorise us to grant limited sublicences to such parties solely to the extent necessary for them to perform services or functions on our behalf.
The licence is non-exclusive, meaning that you remain free to use, licence, or otherwise exploit your User Content independently, subject to any rights or restrictions applicable to that content.
The licence is worldwide because the Services may be accessed and operated across multiple jurisdictions. The licence is royalty-free because you will not be entitled to separate compensation from us for the uses of User Content expressly permitted by these Terms.
Except as expressly provided in these Terms, this licence does not transfer ownership of your User Content to us. You retain the ownership rights you have in your User Content, subject to the rights granted to us under this Section 2.3 and any rights of third parties in that content.
2.3.2 Scope of Licence
The licence granted under Section 2.3.1 permits us, and the parties authorised under that Section, to carry out the following activities in relation to User Content, to the extent reasonably necessary to provide, operate, maintain, secure, develop, improve, and support the Services:
a. Hosting and Storage. We may host, store, back up, reproduce, and maintain User Content on our systems and on systems operated by our service providers and technology providers.
b. Reproduction and Copying. We may copy and reproduce User Content as reasonably necessary to operate the Services, including for storage, backup, security, technical processing, transmission, indexing, and service continuity.
c. Technical Processing. We may access and process User Content to provide the functionality of the Services, including parsing, indexing, categorising, structuring, analysing, converting, and otherwise technically processing content so that it can be searched, displayed, matched, transmitted, or used with other features of the Services.
d. Reformatting and Format Changes. We may reformat, resize, convert, compress, standardise, translate, transcribe, or change the file type, layout, metadata, or other technical characteristics of User Content where reasonably necessary to make that content compatible with the Services or to provide requested functionality.
e. Modification and Adaptation. We may modify or adapt User Content where reasonably necessary to operate or improve the Services, including making technical or formatting changes. We will not intentionally alter the substantive meaning of User Content except where such alteration is part of a feature requested or enabled by the user or is otherwise permitted under these Terms.
f. Display and Performance. We may display, publish, reproduce, or perform User Content through the Services to the audiences and for the purposes permitted by the user's account settings, privacy settings, selections, and use of particular features.
g. Distribution and Transmission. We may distribute, transmit, communicate, or make User Content available to other users, Employers, recruiters, Candidates, service providers, technology providers, integrated platforms, or other recipients where this is necessary to provide a feature or functionality selected or used by the user, including job applications, candidate searches, Employer recruitment tools, messaging, and third-party integrations.
h. Publication and Searchability. Where a user has chosen or enabled a feature that makes User Content searchable, discoverable, or publicly available, we may publish, index, display, and make that content available through the relevant Services and associated search, discovery, recruitment, or distribution features, subject to the user's applicable visibility settings.
i. Derivative and Combined Content. We may create technical, structural, or functional adaptations, compilations, summaries, extracts, or other derivative materials from User Content where reasonably necessary to provide or improve the Services, including search indexes, structured profile information, job or candidate matching data, previews, recommendations, and other platform functionality. This does not transfer ownership of the underlying User Content to us.
j. Service Operations and Security. We may use and process User Content as reasonably necessary to maintain the security, integrity, reliability, and performance of the Services, including for backup, testing, debugging, fraud prevention, abuse prevention, monitoring, error correction, and incident response.
k. Service Providers and Authorised Third Parties. We may permit our Affiliates, service providers, contractors, technology providers, and other authorised third parties to perform the activities described in this Section on our behalf, subject to applicable contractual, confidentiality, security, and data-protection requirements.
The rights described in this Section are limited to the purposes and uses permitted elsewhere in these Terms and our Privacy Policy. Nothing in this Section grants us ownership of User Content or permits us to use User Content for purposes that are not otherwise authorised under these Terms, the Privacy Policy, applicable law, or the user's applicable choices and settings.
2.3.3 Candidate Content
Where you use the Services as a Candidate, the licence granted under Section 2.3 includes the following rights in relation to Candidate Content:
a. Candidate Profiles. We may host, store, process, display, and make your profile available through the Services in accordance with your profile settings and the features you use. This may include displaying information such as your professional experience, education, skills, qualifications, location, professional interests, and other information you choose to include in your profile.
b. CVs and Resumes. We may receive, store, process, format, parse, analyse, and display CVs, resumes, portfolios, and other career-related documents that you upload or create through the Services. We may extract information from these materials to provide features such as profile creation, search, job matching, recommendations, application functionality, and other recruitment-related services.
c. Job Applications. Where the Services allow you to apply for a job through us, you authorise us to process and transmit the relevant application information and Candidate Content to the Employer, recruiter, or other recipient identified in connection with that application. This may include your profile information, CV or resume, cover letter, answers to application questions, portfolio materials, contact information, and other information that you choose to submit as part of the application.
d. Candidate-Selected Sharing. Where the Services allow you to share your profile, CV, resume, or other Candidate Content with Employers, recruiters, or other users, we may make the selected content available to those recipients in accordance with your instructions, selections, and applicable account or privacy settings.
e. Recruiter and Employer Access. Where you enable a feature that permits Employers or recruiters to discover or search for Candidates, we may make the relevant portions of your Candidate Content available to participating Employers or recruiters through candidate-search, sourcing, matching, recommendation, or similar recruitment features. The scope of information made available may depend on your visibility settings and the particular feature you have enabled.
f. Searchability and Discoverability. If you choose to make your profile or other Candidate Content searchable or discoverable, we may index and process that content so that it can appear in relevant searches, recommendations, candidate results, matching systems, or other recruitment-related features. If you choose a setting that limits searchability or discoverability, we will apply that setting in accordance with the functionality described when you make your selection, subject to the exceptions described in these Terms and our Privacy Policy.
g. Applications and Previously Shared Content. Changing your profile visibility, withdrawing from a recruitment feature, or deleting Candidate Content may not affect information that has already been received by an Employer, recruiter, or other recipient to whom you previously submitted or shared it. We may also retain or continue processing information where reasonably necessary to comply with law, resolve disputes, prevent fraud or abuse, maintain security, or satisfy other legitimate operational requirements, as described in our Privacy Policy.
h. Candidate Communications. Where you use messaging or communication features to communicate with Employers, recruiters, or other users, we may store, process, transmit, and display those communications as necessary to provide the relevant communication feature and in accordance with applicable settings and our Privacy Policy.
i. Candidate Preferences and Instructions. Where the Services provide controls concerning profile visibility, recruiter access, application information, communications, job alerts, or other sharing preferences, we will use those controls to determine how the relevant Candidate Content is made available through the Services, subject to the functionality and limitations described at the time the relevant setting is selected.
j. No Guarantee of Confidentiality from Recipients. While we may provide privacy and visibility controls, we cannot control what an Employer, recruiter, or other recipient does with Candidate Content after it has been lawfully provided to that recipient. You should review the audience and sharing information presented by the Services before submitting or making Candidate Content available.
k. Use of Candidate Content by Employers. When Candidate Content is made available to an Employer through the Services, because you have made your profile discoverable or chosen to share your Candidate Content, you also grant that Employer a non-exclusive, non-transferable, royalty-free licence to view, copy, store and share that Candidate Content within its organisation, solely to consider you for employment or other work opportunities and in accordance with these Terms and data protection law. Where the Employer is a recruitment agency, it may also share your Candidate Content with the client for which it is recruiting, but only with your agreement for that role. This licence does not allow the Employer to publish, sell or otherwise use your Candidate Content for any other purpose. It continues for any copies the Employer has lawfully obtained, for as long as the Employer may keep them under data protection law.
Nothing in this Section requires us to make Candidate Content publicly available merely because you have submitted it to the Services. The availability of Candidate Content will depend on the feature used, your selections and settings, the recipient involved, and the applicable provisions of these Terms and our Privacy Policy.
2.3.4 Employer Content
Where you use the Services as an Employer, recruiter, staffing organisation, or other organisation seeking Candidates, the licence granted under Section 2.3 includes the following rights in relation to Employer Content:
a. Job Listings. We may host, store, reproduce, format, process, display, publish, distribute, and otherwise use job advertisements, job descriptions, vacancy information, application requirements, screening questions, compensation information, and other recruitment-related content that you submit or create through the Services.
b. Employer Profiles and Company Information. We may display and distribute your Employer profile, company description, organisation information, logos, trademarks, images, links, and other information that you provide in connection with your Employer or recruiter account. Where you designate information as public, we may make it available through relevant public-facing portions of the Services.
c. Search and Indexing. We may index, structure, categorise, and otherwise process Employer Content so that jobs, Employers, organisations, and related information can be found through searches, filters, categories, recommendations, recruitment tools, and other discovery features.
d. Job Matching and Recommendations. We may use relevant Employer Content to identify, rank, recommend, or otherwise match job opportunities with Candidates and to provide Employers and recruiters with recruitment-related recommendations. This may include processing information contained in job descriptions, required skills, qualifications, location, experience requirements, compensation information, and other job-related criteria.
e. Candidate Recommendations. Where the Services provide candidate-search, sourcing, matching, or recommendation functionality, we may use relevant Employer Content, including job requirements and employer-selected criteria, to help identify or recommend potentially relevant Candidates. The operation of such functionality may involve automated processing and other technologies described elsewhere in these Terms and our Privacy Policy.
f. Distribution Through the Services. We may distribute Employer Content through our website, applications, search results, notifications, email communications, job alerts, recommendation systems, Employer and candidate interfaces, and other features of the Services in order to make relevant employment opportunities available to Candidates and facilitate recruitment.
g. Third-Party Job Distribution and Integrations. Where you use or enable a job distribution service, API, applicant tracking system integration, recruitment integration, feed, plugin, or other third-party functionality, we may transmit and distribute the relevant Employer Content to the applicable third party in accordance with your instructions and the terms applicable to that integration.
h. Reformatting and Standardisation. We may reformat, standardise, categorise, translate, resize, extract, or otherwise technically adapt Employer Content so that it can be displayed consistently, searched, indexed, matched, distributed, or used with the features of the Services. These technical adaptations may include converting job descriptions into structured fields or extracting information such as job title, location, skills, qualifications, employment type, or compensation.
i. Employer-Selected Distribution. Where you select or enable additional distribution, promotion, sponsorship, advertising, or recruitment features, we may use and distribute the relevant Employer Content as reasonably necessary to provide those features. Additional fees or terms may apply where specified in the applicable service description or order.
j. Communications with Candidates. Where you use the Services to communicate with Candidates, we may store, process, transmit, and display your communications and related Employer Content as necessary to provide the relevant communication and recruitment functionality.
k. Employer Instructions and Settings. Where the Services provide controls concerning job visibility, application routing, Candidate access, distribution, sponsorship, integrations, or other Employer Content settings, we will use those controls to determine how the relevant content is presented or distributed through the Services, subject to the functionality and limitations described when the relevant setting is selected.
l. Previously Distributed Content. If you modify, suspend, or remove Employer Content, we may continue to retain or display copies for a reasonable period where necessary for technical processing, caching, backups, security, legal compliance, dispute resolution, fraud prevention, or other purposes described in these Terms or our Privacy Policy. Content previously transmitted to third parties or incorporated into third-party services may remain subject to the policies and practices of those third parties.
m. Employer Content and Third-Party Rights. You remain responsible for ensuring that you have the necessary rights, permissions, and authority to submit Employer Content and to permit us to use and distribute it as contemplated by these Terms. Nothing in this Section transfers ownership of your Employer Content to us.
Our use of Employer Content under this Section is subject to the other provisions of these Terms, our Privacy Policy, applicable law, and any additional terms governing particular Employer products, integrations, advertising services, or distribution arrangements.
2.3.5 Service Providers and Technology Providers
a. Affiliates. We may permit our Affiliates to access and process User Content where reasonably necessary to provide, operate, maintain, secure, develop, or support the Services, subject to applicable law and the terms of our Privacy Policy.
b. Service Providers Acting on Our Behalf. We may engage third-party service providers, contractors, and other providers to perform services on our behalf. These providers may access, host, store, process, transmit, or otherwise use User Content only to the extent reasonably necessary to perform the services they provide to us or to support the operation of the Services, subject to applicable contractual, confidentiality, security, and data-protection requirements.
c. Technology and Infrastructure Providers. Our service providers may include providers of cloud hosting, data storage, databases, content delivery, search infrastructure, authentication, communications, backup, monitoring, security, fraud prevention, analytics, and other technology infrastructure. We may permit such providers to process User Content as reasonably necessary to provide the relevant infrastructure or technology services.
d. Specialised Processing Providers. We may use specialised providers to perform particular functions associated with the Services, including CV and resume parsing, document processing, search and indexing, matching and recommendation services, artificial intelligence and machine-learning services, communications, customer support, analytics, security, and fraud prevention. The use of User Content by such providers will be limited to the purposes for which we engage them, except where a provider independently processes information in accordance with its own legal obligations or relationship with the relevant user.
e. Contractors and Professional Advisers. We may permit contractors, consultants, auditors, legal advisers, accountants, security professionals, and other professional advisers to access User Content where reasonably necessary to provide services to us, operate the Services, protect our rights or property, comply with legal obligations, or investigate or respond to security, fraud, abuse, or other incidents.
f. Sublicensing. To the extent necessary to provide the Services, we may grant limited sublicences to our Affiliates, service providers, technology providers, contractors, and other authorised parties for the rights granted to us under Section 2.3. Any such sublicence will be limited to the purposes for which the relevant party is engaged and will not transfer ownership of User Content.
g. No Unrestricted Commercial Use by Service Providers. Unless otherwise disclosed to you and permitted by applicable law, our service providers and technology providers are not authorised by us to sell, license, publish, or independently exploit User Content for their own commercial purposes merely because they provide services to us. Where a third party processes information independently rather than solely on our behalf, the applicable relationship, purposes, and rights will be described in our Privacy Policy or other applicable terms.
h. Third-Party Services Selected by You. Where you choose to connect your account, submit an application, transmit content, or otherwise use a feature involving an independent third-party service, we may transmit the relevant User Content to that third party as necessary to provide the feature you have requested. Section 8.2 explains that the third party's own terms and privacy notice apply.
i. Responsibility for Authorised Providers. We will use reasonable measures to require service providers that process User Content on our behalf to maintain appropriate contractual, confidentiality, security, and data-protection safeguards. Nothing in this Section limits any rights or obligations that apply under applicable data-protection law.
j. No Expansion of User Rights. A service provider's access to User Content under this Section does not give that provider ownership of the User Content or any rights beyond those reasonably necessary to perform the services for which the provider has been engaged, unless otherwise agreed or required by applicable law.
2.3.6 Third-Party Integrations
a. General Integration Authority. The Services may allow you to connect, use, or interact with third-party websites, applications, platforms, software, recruitment systems, and other services. Where you enable or use a third-party integration, you authorise us to exchange the User Content and other information reasonably necessary to provide the integration or carry out the action you have requested.
b. Applicant Tracking and Recruitment Systems. Where an Employer, recruiter, Candidate, or other authorised user connects an applicant tracking system, recruitment platform, candidate-management system, or similar service, we may transmit, receive, synchronise, or otherwise process relevant information through that integration. Depending on the integration and the actions taken, this may include Job Listings, Candidate profiles, CVs and resumes, cover letters, application responses, contact information, application status, interview information, and other recruitment-related information.
c. Job Distribution and Publishing Partners. Where an Employer or recruiter selects or authorises distribution of a Job Listing through a third-party job board, recruitment network, publisher, advertising platform, partner website, or other distribution service, we may transmit and distribute the relevant Employer Content to those third parties in accordance with the requested distribution service. The third party may display, index, reproduce, or otherwise process the Job Listing in accordance with its own terms and applicable agreement with the Employer or recruiter.
d. APIs, Feeds, Webhooks, and Developer Integrations. We may provide or use APIs, application programming interfaces, data feeds, webhooks, plugins, software development kits, or similar technologies to exchange information between the Services and third-party systems. The information exchanged will depend on the integration, permissions, configuration, and functionality being used.
e. Account Linking and Authentication. The Services may allow you to link your account with a third-party account or authentication service. If you choose to do so, we may receive or transmit information as necessary to establish, authenticate, maintain, or operate the linked account or feature, subject to the permissions and settings associated with that integration.
f. User-Authorised Transfers. Where you request or authorise information to be sent to a third party, including by submitting a job application, connecting an applicant tracking system, importing or exporting information, enabling an integration, or using a feature that requires an external service, we may transmit the relevant information to that third party to fulfil your request. The information transmitted will be limited to information reasonably necessary for the applicable transaction or feature, subject to the configuration of the integration.
g. Third-Party Terms and Privacy Policies. Third-party services operate under their own terms and privacy notices, as explained in Section 8.2.
h. Integration Permissions and Controls. Where technically available, the Services may provide controls allowing you to connect, disconnect, enable, disable, or manage particular integrations and the information exchanged through them. Disabling or disconnecting an integration will generally prevent future transfers through that integration, but may not affect information that was previously transmitted to the third party.
i. Previously Transferred Information. Once information has been transmitted to an independent third-party service at your request or as authorised by an applicable integration, we may not be able to control how that information is subsequently stored, used, copied, retained, or deleted by the third party. Requests concerning information held by that third party may need to be directed to the relevant third party, subject to your rights under applicable law.
j. Employer and Recruiter Integrations. Where an Employer or recruiter configures an integration to receive applications, Candidate information, or other recruitment-related information, that Employer or recruiter is responsible for ensuring that its use of information received through the integration complies with applicable law, its obligations to Candidates, and its own privacy and data-protection practices.
k. No General Transfer of User Content. Nothing in this Section authorises us to transfer all User Content to third parties without limitation. Transfers through integrations are subject to the particular functionality being used, the permissions and settings applicable to that functionality, these Terms, our Privacy Policy, and applicable law.
2.3.7 Search, Matching and Recommendations
a. Search and Discovery. We may process User Content and other information available through the Services to provide search, discovery, filtering, sorting, and other tools that allow users to find jobs, Candidates, Employers, recruiters, and other relevant information. The information available through search and discovery features may depend on the user's account type, permissions, visibility settings, search criteria, and the particular features being used.
b. Job Matching. We may use Candidate Content and other relevant information to identify, suggest, rank, or otherwise match Candidates with job opportunities that may be relevant to their skills, experience, qualifications, preferences, location, or other characteristics. A match or recommendation indicates potential relevance and does not constitute a determination that a Candidate is qualified for a particular position or that a position is suitable for a Candidate.
c. Candidate Matching. We may use Employer Content, including job descriptions, requirements, qualifications, skills, location, employment type, compensation information, and other recruitment criteria, together with relevant Candidate Content, to identify, suggest, rank, or otherwise match potentially relevant Candidates to jobs, Employers, or recruiters.
d. Recommendations. We may provide personalised or non-personalised recommendations, including recommendations of jobs, Candidates, Employers, recruiters, searches, recruitment opportunities, or other features or content available through the Services. Recommendations may be based on information contained in User Content, information provided by users, activity on the Services, preferences, interactions with the Services, and other information described in our Privacy Policy.
e. Automated Processing. The Services may use automated systems, algorithms, statistical methods, machine-learning technologies, and other automated processing techniques to support search, matching, ranking, recommendations, personalisation, categorisation, and other recruitment-related functionality. Such systems may process information contained in User Content and other information available to us for these purposes.
f. Matching Inputs and Derived Information. Matching, search, ranking, and recommendation systems may use information provided directly by users as well as information derived or structured from User Content. For example, we may identify or structure skills, qualifications, job categories, experience, locations, employment types, or other characteristics from a CV, resume, profile, Job Listing, or other content to provide search and matching functionality.
Section 5.2 describes how search, ranking and matching work, and Sections 12.2 and 12.4 explain what we do not guarantee about them.
Nothing in this Section limits any rights or obligations concerning automated decision-making, profiling, artificial intelligence, or personal-data processing that apply under our Privacy Policy, any applicable AI or automated decision-making notice, or applicable law.
2.3.8 Analytics and Service Improvement
a. Analytics and Measurement. We may collect, use, and process information relating to the use and performance of the Services for purposes including measuring traffic, usage, engagement, feature adoption, searches, applications, interactions, system performance, and other activities associated with the Services. This may include information contained in User Content and information about how users interact with the Services, subject to our Privacy Policy and applicable law.
b. Research and Insights. We may use information available to us to conduct research, identify trends and patterns, understand how the employment marketplace and our Services are used, develop business and product insights, and evaluate the effectiveness of our Services and features.
c. Testing and Quality Assurance. We may use User Content and other information as reasonably necessary to test, validate, monitor, and evaluate the functionality, reliability, compatibility, usability, and performance of the Services and new or modified features.
d. Debugging and Error Correction. We may access and process relevant information to identify, investigate, reproduce, diagnose, and correct errors, bugs, crashes, defects, technical issues, and other problems affecting the Services.
e. Security and Operational Monitoring. We may monitor and analyse activity, systems, networks, and User Content as reasonably necessary to maintain the security, integrity, availability, and performance of the Services, detect and prevent fraud, abuse, malicious activity, and unauthorised access, and investigate security or operational incidents.
f. Product and Service Improvement. We may use information relating to the use of the Services to develop, enhance, modify, evaluate, and improve existing and future products, services, features, functionality, workflows, search systems, matching systems, recommendations, and user experiences.
g. Aggregated and De-identified Information. We may create, generate, use, analyse, and disclose aggregated, statistical, or appropriately de-identified information derived from User Content and other information available to us, provided that such information is handled in accordance with applicable law. Such information may be used for analytics, research, reporting, benchmarking, business planning, product development, service improvement, and other legitimate business purposes.
h. Experiments and Feature Testing. We may conduct experiments, A/B tests, beta programmes, feature evaluations, and other testing activities to evaluate different versions, designs, workflows, algorithms, recommendations, or functionality. The results may be used to develop, improve, or modify the Services.
i. Automated Analysis. Analytics and service-improvement activities may involve automated tools, statistical methods, algorithms, machine-learning systems, or other technologies. Any use of User Content for AI or machine-learning development, training, testing, or model improvement is addressed separately in Section 2.3.9 and subject to the applicable provisions of these Terms and our Privacy Policy.
j. Retention for These Purposes. We may retain relevant information for a reasonable period where necessary to conduct analytics, investigate technical or security issues, evaluate changes over time, maintain audit records, improve the Services, or comply with legal and regulatory obligations, subject to our retention practices and Privacy Policy.
Nothing in this Section authorises us to use User Content for purposes that are prohibited by these Terms, our Privacy Policy, applicable law, or any specific rights or choices that apply to the relevant information.
2.3.9 AI and Machine Learning
a. AI-Enabled Features. The Services may use artificial intelligence, machine learning, statistical models, algorithms, automated systems, and similar technologies to provide, operate, maintain, personalise, and improve features and functionality. These technologies may be used in connection with, among other things, search, matching, recommendations, Candidate and job analysis, skills extraction, content generation, summarisation, personalisation, communications, fraud prevention, and other recruitment-related features.
b. AI-Assisted Search, Matching and Recommendations. We may use AI and machine-learning technologies to analyse User Content and other information for purposes of identifying potentially relevant jobs, Candidates, Employers, skills, qualifications, or other opportunities and generating search results, matches, rankings, recommendations, or other outputs.
c. AI Content Generation and Transformation. Where available, the Services may use AI to generate, rewrite, summarise, translate, classify, organise, transform, or otherwise assist with content, including CVs and resumes, cover letters, job descriptions, profiles, application materials, interview preparation materials, communications, and other User Content. You acknowledge that AI-generated or AI-assisted content may not accurately reflect your circumstances, qualifications, experience, intentions, or other information and should be reviewed before you rely on, submit, publish, or otherwise use it.
d. Automated Processing. AI and machine-learning systems may process information contained in User Content and other information available to us to provide the functionality described in these Terms and our Privacy Policy. Such processing may include extracting, structuring, categorising, comparing, analysing, or generating information from User Content.
e. AI Development and Testing. We may use information reasonably necessary to develop, test, validate, monitor, evaluate, secure, and improve AI-enabled features and systems that form part of or support the Services. This may include testing model performance, evaluating outputs, identifying errors, improving reliability, conducting safety testing, and investigating or correcting technical issues.
f. Model Training and Fine-Tuning. We do not use Candidate Content, such as your CV or profile, or information derived from it, to train or fine-tune AI models unless you agree. If you agree, you can withdraw your agreement at any time, as explained in our Privacy Policy, and we will then stop using your Candidate Content for that purpose. Subject to that, and where permitted by applicable law and our Privacy Policy, we may use other eligible User Content and other information to develop, train, fine-tune, evaluate, and improve machine-learning or AI models and systems used in connection with the Services. Where applicable law or our Privacy Policy provides a user with a right to object, opt out, restrict, or otherwise control such processing, we will provide the applicable controls or mechanisms described in the relevant policy or notice. This paragraph does not limit our use of information under paragraph (e), for example to test our AI Features for accuracy and unfair bias (Section 6.4).
g. Scope of AI Model Use. AI and machine-learning models may include models developed by us, models developed jointly with third parties, or models and technologies licensed from or provided by third-party technology providers. Information used in connection with a particular AI system may be processed according to the functionality, configuration, contractual arrangements, and purposes applicable to that system.
h. Third-Party AI Providers. We may use third-party AI, machine-learning, cloud, infrastructure, and technology providers to operate or support AI-enabled features. Where we provide User Content or other information to such providers, we will do so as reasonably necessary to provide the relevant Services or for other purposes permitted by these Terms, our Privacy Policy, and applicable law. Unless separately authorised or permitted by applicable law, our provision of information to a third-party provider to operate an AI feature does not by itself grant that provider an unrestricted right to use the information for its own independent commercial purposes.
i. AI-Generated and AI-Assisted Outputs. AI-generated or AI-assisted outputs may be based on User Content, information supplied by you, information available through the Services, or other inputs. You retain any rights you otherwise have in User Content that you provide to the Services, subject to the licences and other rights granted under these Terms. Section 6.2 explains the limitations of AI Output.
j. Human Review and User Responsibility. AI-enabled features are intended to assist users and do not replace the user's responsibility to review information and make appropriate decisions. Candidates remain responsible for reviewing their profiles, CVs, applications, communications, and other materials before using or submitting them. Employers and recruiters remain responsible for their recruitment and hiring decisions and for complying with applicable employment, equality, discrimination, data-protection, and other laws.
k. Automated Decision-Making and Profiling. The Services may use automated processing and profiling in connection with search, matching, recommendations, personalisation, fraud prevention, security, and other functionality. Where applicable law provides rights or imposes requirements relating to solely automated decision-making, profiling, or decisions producing legal or similarly significant effects, we will process personal information in accordance with those requirements and any applicable AI or automated decision-making notice.
l. AI-Generated Content and User Content. Where an AI feature generates content using your User Content, the resulting output may contain or reflect information derived from that User Content. You are responsible for reviewing such output before publishing, submitting, distributing, or otherwise relying upon it.
m. Changes to AI Systems. We may modify, replace, update, suspend, or discontinue AI models, providers, algorithms, features, and technologies used by the Services. The methods, models, data sources, inputs, outputs, and technical systems used to provide AI-enabled functionality may therefore change over time, subject to applicable law and our Privacy Policy.
n. AI Rights and Controls. Where applicable, users may have rights or controls concerning AI-assisted processing, profiling, automated decision-making, model training, or other uses of personal information. Any such rights, choices, limitations, or procedures are described in our Privacy Policy, applicable AI or automated decision-making notices, account settings, or other applicable documentation.
Nothing in this Section limits any rights you may have under applicable data-protection, privacy, employment, equality, intellectual-property, or other applicable laws.
2.3.10 Publicity and Marketing
a. Platform Promotion. We may use and display User Content as reasonably necessary to operate, promote, market, and explain the Services, subject to the rights, permissions, visibility settings, and limitations applicable to that User Content. This may include displaying public Job Listings, Employer information, public profiles, platform features, and other content made available for public or promotional use through the Services.
b. Public and Search-Engine Visibility. Where you make User Content publicly available or select settings that permit public visibility, we may make that content accessible through the Services and may permit search engines, publishers, job-distribution partners, and other third parties to index, display, link to, or otherwise access that content. Public visibility does not necessarily mean that all User Content will be indexed or displayed by third parties.
c. Candidate Visibility and Promotional Use. Candidate Content will be subject to the visibility and sharing settings applicable to the Candidate's account and the relevant feature. We will not treat a Candidate's private or restricted profile, CV, resume, application, or other non-public Candidate Content as publicly promotional content solely because the Candidate has provided it to the Services. Any separate rights or permissions relating to marketing use of personal information are subject to our Privacy Policy and applicable law.
d. User Name, Username and Profile Information. Where User Content is publicly available or where necessary to provide a feature, we may display the associated name, username, professional title, profile information, or other identifying information included with that content. We will not use private account information solely for promotional purposes except as permitted by these Terms, our Privacy Policy, applicable settings, or applicable law.
e. Employer Names, Logos and Trademarks. Employers and other organisations may provide company names, logos, trademarks, service marks, and other brand assets as part of their User Content. You grant us the rights reasonably necessary to display and use those materials in connection with the Services, including Job Listings, Employer profiles, search results, recommendations, recruitment campaigns, distribution through authorised partners, and promotion of the Services. You represent that you have the necessary rights or permissions to provide those materials.
f. Employer and Job Promotion. Employers and recruiters may choose to promote, sponsor, feature, or otherwise increase the visibility of their Job Listings, Employer profiles, or recruitment campaigns through the Services or through authorised distribution channels. Such promotional activity may cause the relevant Employer Content to be displayed more prominently or distributed through additional channels in accordance with the applicable service or advertising arrangements.
g. Testimonials and Voluntary Feedback. If you voluntarily provide a testimonial, review, feedback, quotation, or other statement and separately agree that we may use it for promotional purposes, we may reproduce, display, and distribute that material in connection with the promotion of the Services. We will not treat ordinary private communications or support interactions as promotional testimonials solely because they contain positive feedback.
h. Advertising and Sponsored Content. The Services may contain advertising, sponsored Job Listings, promoted Employer content, sponsored content, or other commercial placements. We may display advertising adjacent to User Content or other content on the Services. We will not represent that a user, Employer, Candidate, organisation, or other third party endorses an advertisement, product, service, or the Services unless we have a reasonable basis or appropriate permission to make that representation.
i. Social Sharing and Promotional Features. The Services may provide features that allow users to share jobs, profiles, Employer pages, content, links, or other information through third-party websites, applications, or social networks. When you use such features, we may transmit or display the relevant content as necessary to complete the action you have requested. Section 8.2 applies to your use of the third-party service.
j. Third-Party Publications and Distribution. Public Job Listings, Employer information, and other content that you have authorised for distribution may be made available through third-party websites, search engines, job boards, recruitment networks, publishers, advertising platforms, or other distribution partners. The appearance, formatting, ranking, availability, and duration of such content on third-party services may be determined by those services and may differ from its presentation on our Services.
k. Communications. Section 11 explains the service messages and marketing communications we may send and the choices available to you.
l. User Controls and Permissions. Where the Services provide visibility, sharing, advertising, or promotional controls, those controls may determine how User Content is displayed, shared, distributed, or used for particular purposes. Changing a visibility or sharing setting may affect future use or distribution but may not immediately remove content that has already been copied, indexed, cached, shared, or distributed by third parties.
m. No Unauthorised Endorsement. Nothing in these Terms grants any user, Employer, recruiter, advertiser, partner, or other third party the right to represent that they endorse, sponsor, certify, or are otherwise affiliated with us without our express permission. Similarly, our display of an Employer's name, logo, Job Listing, profile, or other content does not by itself constitute an endorsement by that Employer of us or our Services.
n. Compliance with Applicable Law. Our use of User Content for publicity, marketing, advertising, promotional activities, and communications is subject to applicable privacy, data-protection, advertising, intellectual-property, consumer-protection, and other laws and to any rights or choices applicable to the relevant User Content.
Nothing in this Section grants us a broader right to use private Candidate Content for advertising or promotional purposes merely because that content has been submitted to or stored through the Services.
2.3.11 Licence Duration and Termination
a. Licence Duration. The licence granted to us under Section 2.3 begins when you submit, upload, post, transmit, or otherwise make User Content available through the Services and continues for as long as that User Content remains available through the Services, subject to the provisions of this Section.
b. Content Deletion. You may delete User Content where the Services provide a deletion function or otherwise request its deletion in accordance with our applicable procedures. Following deletion, we will cease making the deleted User Content available through the Services within a reasonable period, subject to technical limitations, applicable law, and the exceptions described in this Section.
c. Account Closure. If you close your account, the licence relating to User Content that is no longer otherwise available through the Services will generally terminate following the completion of our applicable deletion and account-closure processes, subject to the exceptions described below. Closing an account does not automatically require us to delete information that we are permitted or required to retain under these Terms, our Privacy Policy, or applicable law.
d. Revocation of Licence. To the extent the licence is terminable under this Section, deletion of the relevant User Content or closure of your account will generally terminate our right to use that User Content for future active use through the Services. Termination of the licence does not invalidate uses, disclosures, distributions, or other rights that occurred before the licence was terminated or that are otherwise permitted under this Section.
e. Existing Copies and Re-Shared Content. Deletion of User Content from the Services does not require us to retrieve or delete copies that were lawfully downloaded, copied, saved, printed, transmitted, or otherwise obtained by other users or third parties before deletion. For example, an Employer that has received a Candidate's CV or application may retain its copy subject to its own legal obligations and privacy practices.
f. Third-Party and Sublicensee Rights. Where User Content has been provided to a third-party service, technology provider, publisher, Employer, recruiter, distribution partner, or other authorised recipient before deletion, the termination of our licence does not automatically terminate rights that were validly granted to or exercised by that recipient before termination. Where reasonably practicable and required by applicable law, we may request that relevant third parties cease processing or delete information following a valid deletion request.
g. Backups and Technical Retention. Deleted User Content may continue to exist temporarily in backups, disaster-recovery systems, security systems, archives, logs, or other technical systems maintained for legitimate operational, security, or continuity purposes. Such information will not ordinarily be made available for active use through the Services and may be retained until it is overwritten, deleted, or otherwise removed in accordance with our applicable retention practices.
h. Legal, Regulatory, Security, and Dispute-Related Retention. We may retain User Content or other information after deletion or account closure where reasonably necessary to comply with a legal or regulatory obligation, respond to lawful requests, establish or defend legal claims, resolve disputes, investigate fraud or abuse, protect the security or integrity of the Services, enforce these Terms, or otherwise exercise or protect legal rights.
i. Aggregated and De-identified Information. Termination of the licence does not prevent us from continuing to use information that has been aggregated or de-identified so that it no longer reasonably identifies you, provided that such information is handled in accordance with applicable law and our Privacy Policy. We will not use this provision to avoid applicable rights relating to identifiable personal information.
j. Service Records and Transactions. We may retain records of transactions, applications, communications, job postings, account activity, consents, permissions, and other information where reasonably necessary to maintain business records, protect users, prevent fraud or abuse, resolve disputes, comply with legal obligations, or demonstrate compliance with applicable requirements.
k. Effect on Previously Completed Transactions. Deletion of User Content or closure of an account does not invalidate applications, job postings, communications, transactions, integrations, distributions, or other actions that were completed before the relevant content was deleted or the account was closed.
l. Survival of Certain Rights. Provisions of the licence and these Terms may continue to apply after deletion of User Content or termination of an account to the extent reasonably necessary for existing copies, previously authorised distributions, third-party rights, legal or regulatory retention, security and fraud prevention, dispute resolution, enforcement of these Terms, or properly aggregated or de-identified information.
m. No Continuing Right to Unrestricted Active Use. Except as expressly provided in these Terms, the termination of the licence relating to User Content means that we will not continue to use the deleted User Content for new or unrelated active purposes merely because the content was previously submitted to the Services.
Nothing in this Section limits any rights you may have under applicable data-protection, privacy, or other applicable laws.
2.3.12 Reservation of Rights
a. User Ownership of User Content. You retain ownership of User Content that you own or otherwise have rights to use. Nothing in these Terms transfers ownership of your User Content to us. This includes, as applicable, your profiles, CVs and resumes, application materials, job descriptions, messages, documents, images, trademarks, logos, and other materials that you submit, upload, post, transmit, or otherwise make available through the Services.
b. No Transfer of Ownership. The licences granted to us under these Terms are licences to use User Content for the purposes and in the manner described in these Terms. They do not constitute a sale, assignment, or other transfer of ownership of your User Content. Except for the rights expressly granted to us, you retain your rights in User Content to the extent permitted by applicable law.
c. Rights Granted to Us. Our rights to use User Content are limited to the rights expressly granted under these Terms, applicable product or service terms, applicable permissions and settings, and applicable law. The existence of a licence does not give us ownership of User Content or any rights beyond those reasonably necessary or expressly permitted under the applicable licence.
d. Our Intellectual Property. Our rights in the Services and our intellectual property are set out in Section 10.2.
e. Platform Output. Rights in output generated by the Services, including AI Output and scores, are dealt with in Section 10.4.
f. Rights Not Expressly Granted. Except for the rights expressly granted under these Terms, each party keeps all of its rights. Section 10.6 sets out the rights we reserve in the Services.
g. Your Authority to Grant Rights. By submitting User Content, you represent and warrant that you own that User Content or have obtained all rights, permissions, licences, consents, and authorisations necessary to submit it and to grant the rights provided under these Terms. You further represent that your submission and our permitted use of the User Content will not knowingly violate the rights of any third party or applicable law.
h. Third-Party Content and Rights. User Content may contain or incorporate materials owned or controlled by third parties, including personal information, copyrights, trademarks, logos, photographs, documents, or other protected materials. Your submission of such materials does not transfer ownership of those materials to us, and you remain responsible for ensuring that you have the necessary rights or permissions to submit and authorise the permitted use of such materials.
i. No Implied Rights. No rights or licences will be implied by these Terms, by your use of the Services, or by our receipt, storage, processing, display, or other permitted use of User Content, except to the extent such rights are necessary to provide the Services or are expressly granted under these Terms or applicable law.
2.4 Candidate Content
2.4.1 Types of Candidate Content
If you use the Services as a Candidate, you may create, upload, submit, publish or otherwise provide content and information relating to your job search, professional experience and career activities. Candidate Content may include your profile, CV or resume, cover letters, employment and education history, skills, qualifications, certifications, professional registrations, portfolio materials, work samples, application responses, supporting documents and other information or materials you choose to provide through the Services.
2.4.2 Candidate Responsibility for Content
You are responsible for the Candidate Content you provide through the Services and must take reasonable care to ensure that it is accurate, complete where appropriate, and not intentionally false or misleading. You should keep information that is relevant to your job search reasonably current and should review your Candidate Content before using or submitting it to an Employer, recruiter or other recipient.
You must not knowingly misrepresent your identity, employment history, education, qualifications, certifications, professional experience, skills or other material information relevant to an employment opportunity. You must not use Candidate Content to impersonate another person or to create a misleading impression about your qualifications, experience or suitability for a role.
2.4.3 CVs, Resumes and Application Materials
Where the Services allow you to create, upload, store, edit or maintain CVs, resumes, cover letters or other application materials, you are responsible for reviewing those materials before using or submitting them. You are responsible for ensuring that the materials you submit accurately reflect your qualifications, experience and other information you intend to communicate to Employers or recruiters.
The Services may provide tools that assist with the creation, formatting, organisation, conversion or presentation of CVs, resumes and other application materials. Technical processing or formatting by the Services may alter the presentation or structure of your materials, and you remain responsible for reviewing the resulting materials before submitting them.
2.4.4 Candidate Profile and Visibility
Depending on the features and settings available to you, you may be able to control whether your profile or certain Candidate Content is private, visible to Employers or recruiters, searchable or otherwise discoverable through the Services. If you make your profile visible to Employers, they can view and download a redacted version of your CV, with your contact details removed, which is the same version shown on your profile. Employers receive your original CV only if you choose to share it with them.
Your visibility settings apply only to the features and information to which those settings relate and do not necessarily prevent information that you have separately submitted to an Employer, recruiter or other recipient from being accessed or retained by that recipient. For example, information included in an application that you submit to an Employer may remain available to that Employer even if you subsequently change the visibility of your profile.
The availability and operation of particular visibility controls may vary depending on the Services you use. Further information about the processing and disclosure of personal data is provided in our Privacy Policy.
2.4.5 Applications and Submission of Candidate Content
When you submit an application or otherwise choose to provide Candidate Content to an Employer, recruiter or other recipient through the Services, you are responsible for reviewing the information and materials included in that submission and for ensuring that you intend to provide them to the identified recipient.
Where a Job Listing directs you to apply on the Employer's own website or system, Section 4.3 applies.
2.4.6 Third-Party Information and Materials
You must not include personal information, confidential information, copyrighted material or other content relating to another person or organisation in your Candidate Content unless you have the necessary rights, permission or other lawful basis to provide that information or material through the Services.
This may include information relating to references, former employers, colleagues, clients, customers, educational institutions or other third parties. You are responsible for considering any confidentiality, contractual, intellectual-property, privacy or other obligations that may apply to information or materials you provide.
Your obligations concerning your rights to submit Candidate Content and the rights of third parties are further addressed in Section 2.6.
2.4.7 Candidate Content and Recruitment Decisions
Employers make their own recruitment and hiring decisions about Candidate Content (Section 4.1). Section 12.2 explains what we do not guarantee about recruitment outcomes.
2.5 Employer Content
2.5.1 Employer Content Covered
If you use the Services through an Employer Account, you may create, upload, submit, publish or otherwise provide content relating to your organisation, recruitment activities or job opportunities, including Employer profiles, company descriptions, Job Listings, job descriptions, job requirements, compensation information, screening questions, application instructions, logos, images, documents, recruitment materials and communications with Candidates or other users.
2.5.2 Responsibility for Employer Content
You are responsible for the Employer Content that you provide through the Services and for ensuring that it is accurate, current, complete and not misleading in any material respect. You are also responsible for ensuring that any job vacancy or recruitment opportunity you advertise through the Services is genuine and accurately describes the relevant employment opportunity, subject to any requirements or limitations set out in our applicable policies.
You must ensure that Employer Content, and your use of the Services in connection with that content, complies with these Terms, including the conduct rules in Section 3 and the rules for Job Listings and recruitment in Section 4, and with all applicable laws and regulations.
2.5.3 Job Listings and Recruitment Information
Employer Content may include information relating to employment opportunities, including job titles, descriptions, duties, qualifications, experience requirements, location, working arrangements, compensation, benefits, application requirements and other information relevant to the recruitment process.
You are responsible for determining the requirements of any position, the information included in a Job Listing, the Candidates you consider, and the recruitment and hiring decisions you make.
The information that a Job Listing must contain is set out in Section 4.2.
2.5.4 Employer Profiles and Organisation Information
You are responsible for ensuring that information relating to your organisation, including its name, business information, contact details, website, branding and other profile information, is accurate and current.
You must not use an Employer Account or Employer Content to impersonate another organisation, misrepresent your relationship with an organisation, falsely claim to represent an Employer, or otherwise create a misleading impression about the identity or affiliation of the person or organisation offering an employment opportunity.
Where you are recruiting on behalf of another organisation, you must accurately identify your role and the relevant hiring organisation where required by applicable law, our policies or the Services.
2.5.5 Employer Materials and Third-Party Rights
You must have all rights, permissions, licences and authorisations necessary to provide, publish and use the Employer Content through the Services.
This includes, where applicable, rights to use company names, trade names, trademarks, logos, photographs, documents, job descriptions, recruitment materials and other content supplied by you or on your behalf. You must not provide Employer Content that infringes or unlawfully uses another person's intellectual property, confidential information, privacy rights or other legal rights.
2.5.6 Screening Questions and Application Requirements
Where the Services allow you to create screening questions, application requirements or other candidate-selection criteria, you are responsible for ensuring that those materials are lawful, relevant to the recruitment process and appropriate for the position concerned.
You are responsible for any decisions made using responses to screening questions or other application information. Our provision of tools that facilitate screening, filtering, matching or other recruitment activities does not make us responsible for the underlying recruitment criteria or decisions of the Employer.
2.5.7 Compensation and Employment Terms
Where you provide compensation, benefits, working-hours, location, employment-status or other material terms relating to a position, you are responsible for ensuring that the information is accurate and complies with applicable legal requirements.
The information that a Job Listing must contain is set out in Section 4.2.
2.5.8 Recruitment Agencies and Third-Party Recruiters
If you provide Employer Content on behalf of a client, including as a recruitment agency, staffing provider or other recruitment service provider, you represent that you have the necessary authority to do so.
You remain responsible for ensuring that the Employer Content accurately represents the relevant recruitment opportunity and, where required, identifies the hiring organisation. You must not represent a client vacancy as your own employment opportunity or otherwise mislead Candidates about the identity of the prospective employer.
2.5.9 Changes to Employer Content
You should promptly update or remove Employer Content that is no longer accurate, current or applicable, including Job Listings for positions that are no longer available.
We may update the presentation, formatting, categorisation or technical structure of Employer Content where reasonably necessary to operate the Services, including to display the content across different devices, search interfaces or platform features. Any such technical or formatting changes do not transfer ownership of the underlying Employer Content to us.
2.5.10 Distribution and Visibility
Depending on the Services and settings you use, Employer Content may be displayed to Candidates, searchable through the Services, included in recommendations or matching features, or otherwise distributed through functionality designed to facilitate recruitment.
You acknowledge that information published or made available through recruitment features may be viewed, copied, stored or otherwise processed by recipients after it has been made available to them. You are responsible for determining whether information you provide is appropriate for publication or sharing through the Services, subject to any controls or restrictions we provide.
2.5.11 Employer Content and Platform Features
We may provide tools that allow you to create, format, organise, categorise, search, distribute or otherwise manage Employer Content. These tools may include automated or AI-assisted functionality where made available.
Your use of such tools does not relieve you of responsibility for reviewing Employer Content and ensuring that the resulting content is accurate, lawful and appropriate before publication or use in connection with recruitment, to the extent applicable.
2.5.12 Removal or Restriction of Employer Content
We may refuse to publish, limit the visibility of, remove, modify the presentation of, or restrict access to Employer Content where we reasonably consider this necessary to comply with applicable law, protect users, prevent fraud or abuse, enforce these Terms or our policies, respond to complaints or reports, conduct verification, or protect the security or integrity of the Services.
We may also require you to provide additional information or documentation concerning Employer Content, including information relating to the organisation, the vacancy, the hiring entity or your authority to publish the content.
2.5.13 No Endorsement of Employer Content
Section 12.3 explains that publishing, displaying or recommending Employer Content does not mean that we endorse, verify or guarantee it.
2.5.14 Relationship to Other Requirements
Employer Content is also subject to Sections 3 and 4 and to any service-specific terms that apply to your use of the Services.
Where Sections 3 and 4 or service-specific terms set more detailed requirements for particular types of Employer Content or recruitment activities, those requirements apply in addition to this Section 2.5.
2.6 Content Representations and Warranties
2.6.1 Authority and Right to Submit Content
You represent and warrant that you have the necessary rights, authority and permissions to create, upload, submit, publish, transmit or otherwise provide any User Content that you make available through the Services.
Where User Content includes material belonging to, relating to, or provided by another person or organisation, you represent and warrant that you have the necessary rights, authority or permissions to provide that material to us and to permit us to use it in accordance with these Terms.
If you submit User Content on behalf of another person or organisation, including as an employee, representative, employer, recruiter, recruitment agency or other service provider, you represent and warrant that you are authorised to do so.
You must not submit, publish or otherwise provide User Content where doing so would exceed the rights, permissions or authority available to you or would breach an obligation owed to another person or organisation.
You are responsible for ensuring that any authority, permission or licence necessary for your User Content remains valid for as long as the relevant content is made available through the Services.
2.6.2 Accuracy and Non-Misleading Content
You represent and warrant that, to the best of your knowledge and having regard to the nature and purpose of the relevant User Content, the User Content you provide through the Services is accurate, current and not materially false or misleading.
You must not knowingly provide or publish User Content that contains false, fraudulent or materially misleading information, or that is presented in a manner intended to create a false or misleading impression about a person, organisation, employment opportunity, qualification, experience, product, service or other material fact.
You are responsible for reviewing and, where necessary, updating User Content that becomes materially inaccurate or misleading, particularly where the content remains publicly available or is being used in connection with an active recruitment process.
Where User Content reflects opinions, estimates, preferences, projections or other information that is inherently subjective or may reasonably change over time, you are responsible for presenting that information fairly and in a manner that does not knowingly create a materially misleading impression.
2.6.3 Lawfulness
You represent and warrant that your User Content, and your creation, submission, publication, transmission, use or other provision of that User Content through the Services, complies with all applicable laws and regulations.
You must not provide User Content or use the Services in connection with any activity that is unlawful, fraudulent or otherwise prohibited by applicable law, including where the relevant activity involves employment, recruitment, advertising, privacy, data protection, intellectual property, confidentiality or the processing or use of personal information.
Where you use the Services in connection with recruitment or employment activities, you are responsible for ensuring that your User Content and those activities comply with all applicable requirements relating to employment, recruitment, equal treatment, non-discrimination, advertising, compensation disclosures and other applicable employment or labour requirements.
You must not use the Services to facilitate, promote or participate in unlawful activities through User Content, including by using content to circumvent legal requirements or restrictions applicable to you or to the relevant recruitment or employment activity.
Where applicable law requires you to obtain a licence, registration, consent, authorisation, notice or other legal permission before providing particular User Content or conducting an activity through the Services, you are responsible for obtaining and maintaining that permission.
Nothing in these Terms requires you to comply with a legal requirement that does not apply to you based on your jurisdiction, role or particular activity. However, where multiple legal requirements apply to your use of the Services, you remain responsible for determining and complying with those requirements.
2.6.4 Intellectual Property Rights
You represent and warrant that you own, control or otherwise have all rights, licences, permissions and authorisations necessary to submit, upload, publish, transmit or otherwise provide your User Content through the Services and to grant the rights and licences contemplated by these Terms.
Your User Content, and our permitted use of that User Content in accordance with these Terms, must not infringe, misappropriate or otherwise unlawfully violate the intellectual property rights of any person or organisation, including copyright, trade marks, patents, design rights, database rights, trade secrets and other proprietary rights recognised under applicable law.
Where your User Content incorporates material owned or controlled by another person or organisation, you are responsible for obtaining and maintaining any permissions, licences or other rights necessary for that material to be used through the Services and for us to exercise the rights granted under these Terms.
You must not provide User Content that is subject to contractual, employment, confidentiality, licensing or other restrictions that prevent you from providing that content or permitting its use through the Services.
You remain responsible for ensuring that any licence or permission on which your right to provide User Content depends remains sufficient for the purposes contemplated by these Terms. The fact that we accept, publish, display or otherwise make User Content available through the Services does not constitute a determination that you have the necessary intellectual property rights or permissions.
If you become aware that User Content you have provided may infringe or otherwise violate the intellectual property rights of another person or organisation, you must promptly notify us and, where appropriate, take reasonable steps to correct, replace or remove the affected content.
2.6.5 Third-Party Rights
You represent and warrant that your User Content, and your submission, publication, transmission or other provision of that User Content through the Services, does not unlawfully infringe, violate or misappropriate the rights of any third party.
This includes, where applicable, the privacy, confidentiality, contractual, intellectual property, publicity, personality and other legally protected rights or interests of another person or organisation.
You must not provide User Content that contains information, materials or other content belonging to or concerning another person or organisation unless you have the necessary rights, authority, permission or other lawful basis to provide that content and permit its use in accordance with these Terms.
Where your User Content includes information or materials obtained from an employer, former employer, client, customer, colleague, Candidate, employee, recruitment agency or other third party, you are responsible for ensuring that you are permitted to provide and use that information through the Services.
You must not use the Services to disclose, publish or distribute another person's confidential, proprietary or restricted information where you are not authorised or otherwise legally permitted to do so.
If you become aware that User Content you have provided may unlawfully affect the rights or interests of a third party, you must promptly take reasonable steps to address the issue, including by correcting, replacing or removing the affected content where appropriate.
Nothing in these Terms requires you to obtain consent from a third party where applicable law provides another lawful basis for providing or using the relevant information or content. You remain responsible for determining whether you have the necessary rights, authority, permission or lawful basis for the particular User Content and use concerned.
2.6.6 Personal Data and Information About Other People
You may provide personal data or other information relating to another person through the Services only where you have the necessary rights, authority, permission or other lawful basis to provide that information and for the relevant purpose.
Where you provide personal data relating to another person, you are responsible for complying with any obligations that apply to you in connection with the collection, use, disclosure or other processing of that information before providing it to us or through the Services.
You must not provide personal data relating to another person where doing so would unlawfully interfere with that person's rights or privacy, or where you are prohibited from providing or disclosing the information under applicable law, contractual obligations or other applicable restrictions.
Where you provide information about another person in connection with recruitment or employment activities, including information relating to Candidates, referees, employees, former employees, colleagues, clients or other professional contacts, you are responsible for ensuring that you are authorised or otherwise legally permitted to provide that information for the relevant purpose.
Where applicable law requires you to provide a notice, obtain consent, establish another lawful basis, or satisfy another requirement before providing personal data to us or through the Services, you are responsible for satisfying that requirement.
You must ensure that personal data you provide is relevant and appropriate for the purpose for which it is being provided and must not knowingly provide excessive, irrelevant or unnecessarily sensitive personal information about another person.
Our processing of personal data is described in our Privacy Policy and, where applicable, additional data-processing terms or agreements. Section 7.2 describes our role and the role of Employers under data protection law.
Where you receive personal data about another person through the Services, your subsequent use or processing of that information remains subject to your own legal and contractual obligations, including applicable data-protection and confidentiality requirements.
2.7 Content Standards
2.7.1 General Standard
You must ensure that all User Content you submit, upload, publish, transmit or otherwise make available through the Services complies with these Terms, any applicable policies and all applicable laws and regulations. You must not use the Services to submit or distribute User Content that is unlawful, fraudulent, deceptive, misleading, harmful or otherwise prohibited under these Terms or applicable policies.
2.7.2 Prohibited Content
User Content must not:
- contain or promote unlawful activity or otherwise violate applicable law;
- be fraudulent, deceptive or materially misleading;
- impersonate another person, organisation or entity, or falsely represent an affiliation, authority or relationship;
- infringe, misappropriate or otherwise violate another person's intellectual property, privacy, confidentiality or other rights;
- contain material that you are not authorised to disclose or use;
- contain malicious code, malware or other material intended to interfere with or compromise the Services, another person's account, device, system or data;
- facilitate scams, fraud, phishing, identity theft or other deceptive practices;
- improperly solicit, collect, disclose or exploit personal information;
- be threatening, abusive or harassing;
- contain unlawful discriminatory content or promote unlawful discrimination; or
- otherwise interfere with the legitimate use or operation of the Services.
2.7.3 Fraudulent or Misleading Content
You must not submit or publish User Content that is materially false, fraudulent or misleading in a manner that could reasonably affect another person's use of the Services or participation in a recruitment process.
This includes, where applicable, false or misleading information concerning an employer, organisation, job vacancy, employment opportunity, Candidate identity, qualifications, experience, compensation, job requirements, recruitment process or hiring authority.
You must not use the Services to create or promote fictitious vacancies, fraudulent employment opportunities, misleading Candidate profiles or other content intended to deceive or improperly obtain information, money or other benefits from users.
2.7.4 Discriminatory or Unlawful Recruitment Content
Employers, recruiters and recruitment agencies must not submit or publish recruitment-related User Content that unlawfully discriminates against Candidates or otherwise violates applicable employment, equality or anti-discrimination laws.
This includes, where applicable, unlawful requirements, exclusions, screening criteria, application questions or other recruitment conditions.
Detailed requirements relating to job advertisements and recruitment practices are set out in Sections 4.2 to 4.5.
2.7.5 Intellectual Property and Confidentiality
You must not submit, publish or transmit User Content in a manner that infringes or misappropriates another person's intellectual property rights, confidential information, trade secrets, contractual rights or other legally protected interests.
You are responsible for ensuring that you have the rights, permissions or other lawful basis necessary to submit and use content that belongs to or concerns another person or organisation.
2.7.6 Malicious or Harmful Content
You must not submit or transmit any User Content that contains malware, viruses, malicious code or other harmful material, or that is designed or intended to damage, disrupt, disable, overload, circumvent or gain unauthorised access to the Services or any systems, accounts, networks, devices or data.
2.7.7 Personal Information and Improper Data Collection
You must not use User Content or the Services to improperly obtain, collect, disclose, sell, distribute or otherwise misuse another person's personal information.
Employers, recruiters and other users who receive Candidate information through the Services must use that information only in accordance with these Terms, applicable policies and applicable privacy and data-protection laws.
Nothing in this section limits or replaces the obligations described in our Privacy Policy or other applicable data-protection documentation.
2.7.8 Compliance with Additional Requirements
In addition to these Terms, certain categories or uses of User Content may be subject to additional requirements in service-specific terms that apply to the relevant feature or activity.
Where a particular policy establishes more specific requirements for a particular type of User Content or activity, you must comply with those requirements in addition to these Terms.
2.7.9 Enforcement
Section 2.8 explains how we may review and act on User Content that does not meet these standards.
2.8 Content Moderation and Enforcement
2.8.1 Right to Review Content
We may, but are not required to, review, assess, monitor or investigate User Content or activity on the Services where we reasonably consider it necessary or appropriate to:
- determine whether User Content or activity complies with these Terms or applicable policies;
- investigate suspected fraud, abuse, unlawful activity or other misuse of the Services;
- protect the security, integrity or proper operation of the Services;
- protect Candidates, Employers, recruiters or other users;
- respond to reports, complaints or requests concerning User Content or activity;
- comply with applicable law, legal obligations or lawful requests from competent authorities; or
- enforce or administer our rights and obligations under these Terms.
2.8.2 Content Removal and Restriction
Where we reasonably believe that User Content may violate these Terms, applicable policies or applicable law, or where we otherwise reasonably consider action necessary to protect the Services, users or other persons, we may, to the extent permitted by applicable law and subject to your rights under these Terms:
- refuse to publish or make the User Content available through the Services;
- remove or delete the User Content;
- restrict, limit or disable access to the User Content;
- limit the visibility, searchability or distribution of the User Content;
- prevent the User Content from being shared, transmitted or recommended through particular features;
- temporarily restrict the User Content while we investigate a suspected violation or other concern;
- require you to amend or correct the User Content before it may be published or made available; or
- take any other reasonable technical or operational measure necessary to address the relevant issue.
We may take action in relation to all or part of User Content and may apply different restrictions to different users, audiences, features or Services. The action we take may depend on the nature, severity and circumstances of the relevant issue, including whether the content presents a risk of fraud, harm, unlawful activity, security threats or other misuse.
Where reasonably practicable and appropriate, we may provide you with information about the action taken and the relevant reason. We are not required to provide advance notice where immediate action is reasonably necessary to protect users, the Services or other persons, to prevent further misuse, or to comply with applicable law or a lawful request.
Removing or restricting User Content from the Services does not necessarily require us to permanently delete copies or associated information where retention is reasonably necessary or permitted for legal compliance, security, fraud prevention, dispute resolution, enforcement of these Terms, backup or other legitimate operational purposes.
Where User Content has already been transmitted to or independently received by another user or third party, removing or restricting that User Content from the Services does not necessarily require the recipient to delete or cease using information they have already received. Their handling of that information may be subject to their own legal obligations, agreements and privacy practices.
Any review may be carried out using automated systems, manual review, or a combination of both, and may occur before or after User Content is published or otherwise made available through the Services.
We do not undertake to review or monitor all User Content or activity, and you should not assume that any User Content has been reviewed, verified, approved or endorsed by us merely because it is available through the Services. The absence of review or action in any particular case does not prevent us from reviewing or taking action in relation to that User Content or activity at a later time.
To the extent permitted by applicable law, we may use information reasonably available to us in carrying out such reviews, including information associated with the relevant account, User Content, account activity, reports and other information necessary for the relevant investigation or purpose.
2.8.3 Job Listing and Recruitment Enforcement
Where we reasonably believe that a Job Listing, recruitment activity or related Employer Content may violate these Terms, applicable policies or applicable law, or may present a risk to Candidates, Employers or the integrity of the Services, we may take appropriate action in relation to the relevant listing, account or recruitment activity.
Such action may include:
- refusing to publish or delaying publication of a Job Listing;
- requesting additional information, clarification or supporting documentation from the Employer, recruiter or recruitment agency;
- requiring corrections or amendments to a Job Listing or other recruitment-related content;
- restricting the visibility, searchability or distribution of a Job Listing;
- temporarily suspending applications or other recruitment functionality associated with a listing;
- removing or disabling a Job Listing or related Employer Content;
- requiring completion of identity, organisation or recruitment verification;
- restricting particular recruitment features or account functionality; or
- taking further action against the relevant Employer Account or authorised user in accordance with these Terms.
We may take such action where, among other things, we reasonably suspect that a Job Listing is fraudulent, misleading, unlawful, materially inaccurate, discriminatory in a manner prohibited by applicable law, improperly seeks personal information, is not a genuine employment opportunity, or otherwise fails to comply with Section 4 or other applicable requirements.
We may request information concerning the Employer, hiring organisation, vacancy, recruitment process, compensation, application process or other relevant circumstances before allowing a Job Listing or recruitment activity to proceed. Failure to provide information or complete a requested verification or correction within a reasonable period may result in the listing or relevant functionality being delayed, restricted or removed.
Where a recruiter, recruitment agency or other intermediary publishes a Job Listing on behalf of a client, we may require information identifying the relevant hiring organisation or the intermediary's authority to conduct the recruitment activity.
We do not guarantee that every Job Listing or recruitment activity available through the Services has been independently verified, reviewed or approved by us. The availability of a Job Listing through the Services does not constitute our endorsement of the Employer, recruiter, vacancy, employment opportunity or terms offered.
Our exercise of the rights described in this section does not make us responsible for the accuracy, legality, availability or suitability of a Job Listing or recruitment activity, or for any hiring decision made by an Employer or recruiter.
2.8.4 Account-Level Enforcement
Where we reasonably believe that a user's User Content, activity or use of the Services violates these Terms, applicable policies or applicable law, or otherwise creates a risk to the Services, users or other persons, we may take action in relation to the relevant account, user access or features in addition to taking action against the specific User Content concerned.
Depending on the circumstances, we may:
- issue a warning or request corrective action;
- restrict access to particular features or Services;
- limit the user's ability to publish, upload, communicate, search for or access certain User Content;
- restrict or suspend the ability to create, modify or manage Job Listings or applications;
- restrict access to candidate-search or recruitment functionality;
- temporarily suspend an account or particular user's access;
- require additional verification or authentication;
- require changes to account information or authorised-user permissions; or
- suspend or terminate the account in accordance with these Terms.
The action taken may apply to an individual user, an authorised user of an Employer Account, an Employer Account as a whole, or particular Services or features, depending on the nature and circumstances of the relevant issue.
In determining what action is appropriate, we may consider the nature and severity of the conduct or content, whether it appears intentional or repeated, the potential risk of harm, whether the issue can reasonably be corrected, the user's previous conduct, and any other circumstances we reasonably consider relevant.
Where an Employer Account is accessed by multiple authorised users, action relating to one authorised user does not necessarily require us to suspend or terminate the entire Employer Account. Conversely, where the circumstances affect the organisation or the integrity or security of the Employer Account as a whole, we may restrict or suspend the account or other authorised users where reasonably necessary.
Where reasonably practicable and appropriate, we may give the relevant user or organisation an opportunity to correct the issue before imposing further restrictions. We are not required to provide advance notice or an opportunity to correct an issue where immediate action is reasonably necessary to protect users, the Services or other persons, prevent further misuse, address a security concern, or comply with applicable law or a lawful request.
Any suspension or termination of an account is subject to Section 15.
2.8.5 Automated Moderation and Detection
We may use automated systems, artificial intelligence, machine-learning technologies and other technical tools to assist with the review, detection, classification, prioritisation or management of User Content and activity on the Services.
These systems may be used for purposes including:
- detecting spam, fraudulent or suspicious activity;
- identifying potentially unlawful, prohibited or harmful content;
- detecting malicious files, code or other security threats;
- identifying duplicate, misleading or potentially fictitious Job Listings or accounts;
- detecting activity that may indicate misuse, abuse or attempts to circumvent restrictions;
- categorising or structuring User Content to support search, matching, recommendations or other Services; and
- prioritising User Content or reports for further review.
Automated systems may analyse information associated with User Content or account activity to identify patterns, signals or characteristics relevant to these purposes. Where appropriate, the results of automated systems may be combined with human review or other information before we take action.
Automated detection and classification systems may produce inaccurate, incomplete or incorrect results. We do not represent that automated systems will identify every violation, fraudulent activity, security threat or other prohibited content, or that every item identified by such systems necessarily violates these Terms or applicable law.
Where a particular automated process involves personal data or produces decisions or outcomes subject to specific legal requirements, we will operate that process in accordance with applicable law and our Privacy Policy and any other applicable notices or policies.
The use of automated systems does not prevent us from conducting human review, requesting additional information, taking immediate protective action, or applying the other moderation and enforcement measures described in these Terms.
We do not suspend or close an account, or remove content, based solely on an automated system. An automated system may place a temporary hold on an account or content that appears to involve fraud, spam or other misuse, for example by pausing an account, hiding a Job Listing or asking you to verify your identity. A person reviews each temporary hold within 72 hours and decides whether to lift it, change it or take further action under these Terms. If the review needs more time, for example because we need information from you or the issue is complex or involves a security risk, the hold may stay in place while we finish it, and we will tell you. You can appeal any action we take, as described in Section 16.
Nothing in this section gives us a right to use User Content for purposes beyond those otherwise permitted under these Terms, our Privacy Policy, applicable policies or applicable law.
2.9 Feedback and Suggestions
If you provide us with feedback, suggestions, ideas, recommendations, comments, or other input concerning the Services or our products, features, functionality or business (collectively, “Feedback”), you acknowledge that we may use, reproduce, modify, develop, publish, distribute or otherwise use that Feedback without restriction and without any obligation to compensate you or obtain further permission from you.
You grant us a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, transferable and sublicensable right to use and exploit Feedback for any lawful purpose, including to develop, improve, modify, test, operate and promote the Services and our products, features and technology.
You agree that providing Feedback does not give you any ownership or other intellectual property rights in the Services, our products, features, technology or any improvements or developments based on that Feedback. You also agree that we are not required to use, implement or acknowledge any Feedback you provide.
You should not provide Feedback that contains confidential information, personal data of another person, or other information that you are not authorised to disclose.
3. Prohibited Conduct
3.1 General Prohibition
You may use the Services only in accordance with these Terms, applicable laws and regulations, and the functionality and instructions we make available from time to time. You may not use, access, or interact with the Services in any manner that is unlawful, fraudulent, abusive, deceptive, harmful, unauthorised, or inconsistent with the intended purpose of the Services.
Without limiting the specific restrictions set out below, you may not use the Services to interfere with the operation or security of the Services, infringe the rights of us or any other person, misuse information obtained through the Services, circumvent technical or contractual restrictions, or use the Services in a manner that could reasonably harm other users, the recruitment marketplace, or our systems.
The prohibited activities described in this Section are examples and are not exhaustive. We may restrict or prohibit conduct that is reasonably inconsistent with the purpose, security, integrity, or proper operation of the Services, subject to applicable law.
Nothing in this Section prohibits activity that we expressly authorise, including authorised use of APIs, integrations, exports, developer tools, or other functionality provided or approved by us.
3.2 Illegal or Unauthorised Use
a. Compliance with Applicable Laws. You are responsible for complying with all laws and regulations that apply to you, your activities, and your use of the Services. This includes, where applicable, laws and regulations relating to employment and recruitment, equality and discrimination, privacy and data protection, intellectual property, consumer protection, advertising, communications, and other activities conducted through or in connection with the Services.
b. Unlawful Purposes. You may not use the Services for any unlawful purpose or in connection with any activity that violates applicable laws or regulations. You may not use the Services to solicit, facilitate, coordinate, promote, or materially assist unlawful activity, whether that activity occurs on the Services or elsewhere.
c. Unauthorised Activities. You may not access, use, or interact with any part of the Services, account, feature, system, data, or functionality that you are not authorised to access or use. You may not use another person's account or credentials, access information intended for another user, or use a feature in a manner that circumvents permissions or restrictions established by us.
d. Circumvention of Restrictions. You may not circumvent, disable, defeat, avoid, or otherwise attempt to bypass any legal, regulatory, contractual, technical, geographic, access, security, usage, or other restriction applicable to the Services. This includes attempting to use another account, identity, technical method, intermediary, or third party to evade a restriction that applies to you.
e. Facilitation of Unlawful or Unauthorised Conduct. You may not use the Services to assist another person or entity in engaging in conduct that would violate applicable law or these Terms if undertaken directly by you. This includes providing access to your account, credentials, data, or other platform resources for the purpose of enabling prohibited or unlawful activity.
f. Responsibility for External Activities. If you use information, functionality, communications, integrations, or other resources obtained through the Services in connection with activities outside the Services, you remain responsible for ensuring that your use of those resources complies with applicable law and any applicable contractual or usage restrictions.
g. Authorised Uses. Nothing in this Section prohibits activities that we expressly authorise or enable through the Services, including authorised use of APIs, integrations, data exports, developer tools, recruitment tools, or other functionality, provided that such use complies with the applicable terms, documentation, permissions, and limitations.
The specific examples in this Section are illustrative and do not limit the other restrictions contained in these Terms or any additional requirements that may apply to particular Services or features.
3.3 Impersonation and Identity Misuse
a. Impersonation. You may not impersonate or falsely represent yourself as another individual, user, employer, recruiter, organisation, or other entity. You may not create or use an account, profile, communication, or other representation that is intended or reasonably likely to cause another person to believe that you are someone else or are acting on behalf of someone else without appropriate authorisation.
b. False Identity or Professional Identity. You may not use a false or misleading identity, professional identity, employment relationship, qualification, credential, or affiliation for the purpose of deceiving another person or obtaining an unauthorised benefit through the Services. This does not prohibit the use of a preferred name, professional name, or other identity information where permitted by the Services and not used deceptively.
c. Misuse of Another Person's Account. You may not access, use, control, or operate another person's account without their authorisation. You may not use another person's login credentials, authentication methods, or account information to access the Services or represent yourself as that person.
d. Employer and Organisation Misrepresentation. You may not create, operate, or use an Employer, recruiter, organisation, or company account in a manner that falsely suggests that the account is owned, operated, authorised, or endorsed by another person or organisation. You may not falsely represent an affiliation with an employer, company, recruitment agency, educational institution, government organisation, or other entity.
e. Recruitment Authority. If you represent yourself as recruiting, hiring, or acting on behalf of an employer or organisation, you must have appropriate authority to do so. You may not falsely claim or imply that you are authorised to represent an Employer, make employment offers, communicate on behalf of an organisation, or conduct recruitment activities on its behalf.
f. Names, Images and Identifying Information. You may not use another person's name, photograph, profile information, professional credentials, username, or other identifying information in a manner intended to impersonate that person or materially mislead other users. You may not use another organisation's trademarks, logos, branding, or other identifying materials in a manner that falsely suggests sponsorship, affiliation, authorisation, or endorsement.
g. Deceptive Accounts and Profiles. You may not create, maintain, or use an account or profile that is designed to create a false appearance of identity, professional status, employer affiliation, recruitment authority, or other legitimacy. You may not create duplicate or replacement accounts for the purpose of impersonating another user, concealing your identity, or evading restrictions imposed on another account.
h. Verification and Identity Checks. We may, where appropriate and subject to applicable law, request information or documentation to verify your identity, professional information, employer affiliation, recruitment authority, or other information associated with your account. We may use reasonable verification procedures or third-party verification providers for these purposes. Failure to complete a required verification process may result in restrictions on certain features or access to the Services where reasonably necessary.
i. Responsibility for Representations. You are responsible for ensuring that the identity, affiliation, authority, and other identifying information you provide through the Services is not knowingly false or misleading. Where you create or manage an account on behalf of another person or organisation, you represent that you have the authority to do so.
j. Enforcement. Where we reasonably believe that an account, profile, communication, job posting, or other activity involves impersonation or identity misuse, we may take reasonable measures to protect users and the integrity of the Services, including requesting verification, restricting or removing content, limiting account functionality, suspending accounts, or terminating access, subject to applicable law and our other policies.
Nothing in this Section prevents legitimate references to, discussion of, or representation of another person or organisation where such activity is truthful, authorised where required, and not intended to impersonate or materially mislead others.
3.4 False or Misleading Job and Candidate Information
a. General Accuracy Requirement. You must provide information through the Services that is accurate, complete, and not materially misleading to the best of your knowledge. You must not knowingly provide false information or deliberately create a materially misleading impression through information you provide, submit, publish, or otherwise make available through the Services.
b. Candidate Information. If you are a Candidate or job seeker, you must not knowingly or deliberately misrepresent material information relating to your identity, education, employment history, professional experience, skills, qualifications, certifications, licences, work authorisation, professional credentials, availability, or other information provided in your profile, CV, resume, application, or communications.
c. Employer and Recruiter Information. If you are an Employer or recruiter, you must provide accurate and not materially misleading information about yourself, the organisation or employer you represent, your relationship with that organisation, the recruitment process, and other material information you provide through the Services.
d. Job Listings. Employers and recruiters must not knowingly publish or maintain a Job Listing that materially misrepresents the nature or availability of an employment opportunity. Job listings must not knowingly contain materially false or misleading information regarding the employer, job title, responsibilities, qualifications, location, working arrangements, employment type, application process, or other material characteristics of the role.
e. Compensation and Employment Terms. Where compensation or other material employment terms are included in a Job Listing or recruitment communication, you must not knowingly provide materially false or misleading information regarding salary, salary ranges, hourly rates, commissions, bonuses, equity, benefits, working hours, employment status, or other material conditions of employment. Information may change during a recruitment process, and users are responsible for communicating material changes where reasonably necessary to avoid creating a materially misleading impression.
f. Qualifications, Credentials and Experience. You may not knowingly misrepresent or fabricate qualifications, degrees, certifications, licences, professional credentials, employment history, job titles, skills, experience, references, or other material information relating to a Candidate's suitability for employment. Employers and recruiters must likewise not knowingly misrepresent material qualification requirements or other requirements of an advertised role.
g. Application and Recruitment Information. You must not knowingly provide materially false or misleading information concerning applications, interviews, recruitment stages, hiring decisions, employment offers, application status, or other material aspects of a recruitment process. Employers and recruiters must not knowingly represent that a Candidate has been selected, rejected, interviewed, or offered employment when that representation is materially false or misleading.
h. Availability and Status of Job Opportunities. Employers and recruiters must not knowingly advertise a position that does not represent a genuine employment opportunity or knowingly create a materially misleading impression regarding whether a position is open, available, accepting applications, or actively being recruited for. Where a position has been filled, withdrawn, or is no longer accepting applications, the Employer or recruiter should update or remove the relevant listing within a reasonable period.
i. Material Omissions. You must not deliberately omit material information where the omission, in the circumstances, is intended or reasonably likely to create a materially false or misleading impression. This provision does not require users to disclose every detail about themselves, a role, or a recruitment process, but applies where information provided would otherwise be materially misleading without the omitted information.
j. Third-Party Information. If you submit, publish, or otherwise provide information about another person or organisation, you must not knowingly provide materially false or misleading information about that person or organisation. You must also have any authority, permission, or other legal basis required to provide such information through the Services.
k. Updates and Corrections. You should promptly update or correct information you have provided through the Services when you become aware that it is materially inaccurate or misleading, particularly where the information relates to an active Job Listing, application, recruitment process, Candidate profile, or Employer profile.
l. Ordinary Errors and Changes. This Section does not by itself prohibit ordinary mistakes, inadvertent errors, reasonable estimates, opinions, or information that becomes outdated through circumstances outside a user's reasonable control, provided that the user did not knowingly or deliberately provide materially false or misleading information and otherwise complies with these Terms.
m. Enforcement. Where we reasonably believe that information provided through the Services is materially false or misleading, we may request clarification or supporting information and may take reasonable measures to protect users and the integrity of the Services, including correcting, restricting, or removing content, limiting features, suspending an account, or terminating access, subject to applicable law and our other policies.

c. Threats, Intimidation and Violence. You may not use the Services to threaten, encourage, facilitate, or glorify violence or physical harm against another person. You may not use threats, intimidation, or coercion to cause another person to act, refrain from acting, provide information, make a payment, or otherwise comply with your demands.
d. Stalking and Unwanted Contact. You may not use the Services to stalk, monitor, repeatedly pursue, or otherwise engage in persistent unwanted contact with another person. You may not use additional accounts, alternative contact methods, or other features of the Services to circumvent another user's reasonable efforts to block, restrict, or discontinue contact with you.
e. Hate and Abusive Conduct. You may not use the Services to promote, encourage, or engage in serious hateful or abusive conduct directed at an individual or group on the basis of characteristics protected under applicable law or otherwise in circumstances where the conduct is intended to threaten, dehumanise, or incite serious harm against others.
f. Discrimination. You may not use the Services to engage in unlawful discrimination in connection with employment, recruitment, job advertising, candidate selection, professional opportunities, or access to the Services. This includes unwanted sexual advances, sexually explicit communications or material, requests for sexual activity, sexualised harassment, or conditioning an employment or recruitment opportunity on sexual conduct.
i. Abuse of Recruitment Relationships. Employers, recruiters, Candidates, and other users must not misuse recruitment or professional relationships to harass, threaten, intimidate, exploit, or otherwise abuse another person. You may not use a Job Listing, application, interview, recruitment communication, or professional opportunity as a means of obtaining inappropriate personal information, sexual conduct, money, access, or other benefit through coercion or abuse.
j. Exploitative or Coercive Conduct. You may not use the Services to exploit or coerce another person through threats, intimidation, manipulation, extortion, or abuse of a position of professional or economic authority. Nothing in this Section prohibits legitimate employment negotiations, professional disagreements, lawful contractual requirements, or reasonable requests made in connection with recruitment or employment.
k. Retaliation and Reprisal. You may not threaten, harass, intimidate, penalise, or retaliate against another person because they reported a violation of these Terms, submitted a complaint, participated in an investigation, blocked or restricted contact, exercised a privacy or other legal right, or otherwise acted in good faith to protect themselves or another person.
l. Coordinated or Targeted Abuse. You may not organise, encourage, facilitate, or participate in coordinated harassment, intimidation, or abuse directed at another user. You may not create or use multiple accounts or recruit other users for the purpose of collectively targeting, harassing, threatening, or intimidating another person.
m. Conduct Facilitated Through the Services. The restrictions in this Section apply to conduct carried out through the Services and to conduct occurring outside the Services where the Services are used to initiate, facilitate, coordinate, or materially assist the prohibited conduct.
n. Legitimate Communication and Expression. Nothing in this Section is intended to prohibit lawful criticism, disagreement, discussion, professional feedback, employment-related communications, or other legitimate expression that does not otherwise constitute harassment, threats, discrimination, abuse, or other prohibited conduct under these Terms or applicable law.
o. Reporting and Safety Measures. We may provide tools that allow users to report, block, restrict, or otherwise manage interactions with other users. You should use these tools where appropriate and should not misuse reporting or blocking mechanisms to harass, retaliate against, or improperly restrict another user.
p. Enforcement and Protective Measures. Where we reasonably believe that an account, communication, Job Listing, application, or other activity violates this Section or presents a meaningful risk of harm to a user or the Services, we may take reasonable measures to protect users and the integrity of the Services. These measures may include removing or restricting content, limiting communications or other features, requesting additional information, suspending or terminating accounts, or taking other appropriate action, subject to applicable law and our other policies.
q. Emergencies and Legal Requirements. Nothing in these Terms prevents us from taking action that we reasonably believe is necessary to protect the safety of users, the public, or our Services, or from cooperating with law enforcement, courts, regulators, or other authorised authorities where required or permitted by applicable law.
3.6 Privacy and Personal Information
a. General Privacy Obligation. You must respect the privacy and confidentiality of other users and must not collect, access, use, disclose, or otherwise process another person's personal information through the Services except as permitted by these Terms, applicable law, or the permissions and settings provided through the Services.

Personal information that you may encounter through the Services may include names, contact details, profiles, CVs and resumes, employment histories, education and qualifications, application materials, messages, photographs, professional information, and other information that identifies or relates to an individual. You are responsible for handling such information appropriately and in accordance with applicable law.
c. Collection of Personal Information. You may not collect or obtain personal information from other users through the Services for purposes that are unrelated to the interaction, recruitment activity, transaction, or other legitimate purpose for which the information was made available. You may not use deceptive, automated, or unauthorised means to obtain personal information from users.
d. Use of Personal Information. You may use personal information obtained through the Services only for legitimate purposes consistent with the context in which the information was provided and with applicable law. Employers and recruiters may use Candidate information for legitimate recruitment and hiring activities, subject to applicable law and any restrictions communicated by the Candidate or imposed through the Services.
e. Unauthorised Disclosure and Sharing. You may not disclose, publish, distribute, sell, rent, license, or otherwise make another person's personal information available to third parties without appropriate authorisation, permission, or other lawful basis. This includes publishing private contact information, application materials, private communications, or other non-public information.
f. Scraping and Data Harvesting. You may not use bots, crawlers, scrapers, scripts, automated tools, browser extensions, data-extraction tools, or similar technologies to systematically collect, harvest, copy, download, index, or compile personal information or other user data from the Services, except where expressly authorised by us in writing or through an applicable API or other authorised integration.
g. Bulk Collection and External Databases. You may not use the Services to create, maintain, enrich, or contribute to an external database, directory, mailing list, lead list, candidate database, or other collection of personal information obtained from users of the Services, except where expressly authorised and permitted by applicable law.
h. Contact Information and Off-Platform Communications. Contact information obtained through the Services must not be used to send spam, unsolicited marketing, harassment, deceptive communications, or other communications unrelated to the legitimate purpose for which the information was provided. Nothing in this Section prohibits legitimate recruitment, hiring, professional, or other communications that are permitted by applicable law and consistent with the context in which the information was provided.
i. Candidate Information. Employers and recruiters who access Candidate information through the Services must use that information only for legitimate recruitment, hiring, or related professional purposes and must not sell, rent, or otherwise exploit Candidate information for unrelated purposes. m. Legal Compliance. If your use of the Services involves processing personal information on behalf of another person or organisation, you are responsible for complying with all applicable privacy and data-protection laws and regulations, including any requirements relating to notice, transparency, lawful basis, consent, data minimisation, security, retention, and individual rights, to the extent applicable to your activities.
n. Data Security. If you obtain personal information through the Services, you must take reasonable and appropriate measures to protect that information against unauthorised access, disclosure, loss, misuse, alteration, or destruction. You must not knowingly expose personal information obtained through the Services to unnecessary security risks.
o. Retention and Deletion. You should retain personal information obtained through the Services only for as long as reasonably necessary for the legitimate purpose for which it was collected or otherwise as permitted or required by applicable law. When the information is no longer reasonably necessary, you should securely delete or dispose of it where appropriate.
p. Respect for User Controls. You must respect privacy, visibility, communication, and other controls made available through the Services. The fact that information is accessible to you through the Services does not by itself give you permission to use that information for any purpose or in any manner.
q. Reports and Investigations. If we receive a complaint or otherwise reasonably believe that you have improperly collected, accessed, used, disclosed, or processed personal information through the Services, we may investigate the matter and may request relevant information from you. You agree to reasonably cooperate with such investigations, subject to applicable law.
r. Enforcement. Where we reasonably believe that personal information is being misused or that this Section has been violated, we may take reasonable measures to protect users and the Services, including restricting access to information or features, removing content, limiting account functionality, suspending or terminating accounts, or taking other appropriate action, subject to applicable law and our other policies.
s. Our Privacy Practices. This Section governs your conduct in relation to personal information belonging to or relating to other users. Our collection, use, disclosure, retention, and other processing of personal information is described in our Privacy Policy.
3.7 Automated Access, Scraping and Data Harvesting
a. General Prohibition. You may not access, collect, extract, copy, download, reproduce, index, monitor, or otherwise obtain data or content from the Services through automated, semi-automated, manual, or other systematic means except as expressly permitted by these Terms, our written authorisation, or an authorised feature, API, or integration provided by us.

f. Circumvention of Technical Controls. You may not circumvent, disable, defeat, avoid, interfere with, or attempt to bypass any technical, access, security, or usage-control measure used to protect the Services or limit access to data. This includes bypassing authentication requirements, CAPTCHAs, rate limits, access controls, API restrictions, subscription restrictions, technical barriers, or other mechanisms designed to control or restrict access.

You may not use an authorised API or integration in a manner that exceeds its permitted scope or circumvents restrictions applicable to the Services.
i. Rate Limits and System Resources. You must comply with applicable rate limits and other reasonable restrictions relating to requests, bandwidth, storage, processing, or other use of our systems. You may not generate excessive, abusive, or disproportionate traffic or requests, or otherwise use the Services in a manner that could materially impair, overload, disrupt, or degrade the Services or their availability to other users.

Information obtained through the Services, whether manually or through an authorised mechanism, may not be used for spam, harassment, fraud, unlawful discrimination, unauthorised marketing, identity misuse, or other purposes prohibited by these Terms or applicable law.
k. Artificial Intelligence and Automated Agents. You may not use artificial intelligence systems, autonomous agents, automated assistants, or similar technologies to access or interact with the Services in a manner that circumvents these Terms, technical restrictions, access controls, rate limits, or other limitations applicable to users. Authorised uses of such technologies remain subject to the permissions and restrictions applicable to the relevant feature, API, or integration.
l. Search Engines and Public Indexing. Nothing in this Section prohibits legitimate search engines or other publicly available indexing services from accessing and indexing portions of the Services that we expressly make available for public indexing. We may determine which portions of the Services may be indexed and may use technical or other measures to restrict or control indexing.
m. No Implied Permission. The fact that information or content is publicly accessible through the Services, or technically capable of being accessed or copied, does not by itself constitute permission to systematically collect, reproduce, redistribute, or commercially exploit that information.
n. Ownership and Other Rights. This Section does not transfer ownership of any data, content, database, intellectual property, or other rights belonging to us, our users, or third parties. Any access to information through the Services remains subject to applicable licences, privacy rights, intellectual property rights, and other legal restrictions.
o. Detection and Prevention. We may use technical, analytical, and other measures to detect, investigate, prevent, or limit unauthorised automated access, scraping, data harvesting, excessive requests, or other activity that may violate this Section. We may block, restrict, delay, or otherwise limit access where reasonably necessary to protect the Services, our users, or our systems.
p. Enforcement. Where we reasonably believe that you have engaged in unauthorised scraping, automated access, data harvesting, circumvention, or other activity prohibited by this Section, we may take reasonable measures to protect the Services and their users, including restricting access, blocking requests, revoking API credentials, removing content, suspending or terminating accounts, or taking other appropriate action, subject to applicable law and our other policies.
q. Third-Party Data and Services. You remain responsible for ensuring that your collection, use, storage, disclosure, or other processing of information obtained through the Services complies with applicable law and any rights or restrictions applicable to that information, including privacy, intellectual property, confidentiality, and contractual restrictions.

You must not use recruitment functionality primarily to distribute unrelated advertising, marketing, or solicitation.
d. Unauthorised Marketing and Solicitation. You may not use bots, scripts, artificial intelligence agents, automated systems, or other automated or semi-automated means to send messages, invitations, applications, job postings, or other communications through the Services unless the relevant functionality is expressly provided or authorised by us. Authorised automated features remain subject to any applicable limits and conditions.
f. Misleading Communications and Links. You may not send or distribute communications containing deceptive, misleading, fraudulent, malicious, or disguised links or redirects. You may not use links or other mechanisms to impersonate another person or organisation, conceal the destination or purpose of a communication, distribute malicious software, obtain credentials or personal information unlawfully, or circumvent security or access controls.
g. Fake Engagement and Artificial Activity. You may not create, generate, purchase, solicit, or otherwise facilitate artificial or fraudulent activity intended to make an account, profile, Job Listing, application, message, Employer, Candidate, or other content appear more popular, active, legitimate, qualified, or successful than it actually is. This includes fake views, clicks, applications, messages, follows, connections, endorsements, interactions, or other forms of engagement.
h. Manipulation of Search, Ranking and Recommendations. You may not intentionally manipulate or attempt to improperly influence search results, rankings, recommendations, matching systems, visibility, or other automated or human-curated features of the Services. Prohibited conduct may include keyword stuffing, misleading metadata, excessive or substantially duplicate listings, artificial engagement, repeated reposting intended to obtain undue visibility, or other practices designed to circumvent or distort our ranking or recommendation systems.
i. Duplicate and Low-Quality Content. You may not repeatedly submit substantially identical, misleading, irrelevant, or automatically generated content for the purpose of increasing visibility, overwhelming search results, obtaining disproportionate exposure, or otherwise manipulating the Services. Legitimate updates, amendments, reposting, or other activities expressly permitted by the Services are not prohibited by this Section.
j. Reviews, Ratings and Recommendations. Where the Services provide reviews, ratings, endorsements, recommendations, or similar features, you may not submit or facilitate false, misleading, fraudulent, retaliatory, or manipulated reviews or ratings. k. Circumvention of Communication Controls. You may not circumvent, disable, avoid, or interfere with communication preferences, blocking functionality, messaging limits, account restrictions, or other controls designed to regulate communications between users. This includes creating or using another account or other means to contact a user who has blocked you or otherwise indicated that they do not wish to receive communications from you.
l. Unwanted Contact. You must respect reasonable requests from other users to stop communications. You may not repeatedly contact, message, invite, or otherwise attempt to communicate with a person after receiving a clear request to stop, except where continued communication is reasonably necessary for a legitimate purpose and permitted by applicable law.
m. Misleading Job Listings and Candidate Activity. You may not create or maintain Job Listings, Candidate profiles, applications, or other marketplace activity for the primary purpose of generating artificial engagement, collecting information, misleading users, manipulating search results, or otherwise distorting the legitimate operation of the employment marketplace.

o. No Circumvention Through External Channels. You may not use the Services to direct users to external communications, applications, websites, or services for the purpose of circumventing restrictions, fees, security measures, communication controls, or other requirements applicable to the Services. Legitimate links to an Employer's application process, career site, applicant tracking system or other recruitment service are permitted where supported or authorised by the Services.
p. Platform Integrity. You may not engage in coordinated, deceptive, or other conduct that is intended to artificially alter the apparent activity, reputation, availability, demand, or performance of users, content, jobs, applications, or other features of the Services.
q. Enforcement and Moderation. We may use automated systems, human review, or other measures to detect, prevent, filter, limit, or remove spam, abusive communications, artificial activity, fraudulent engagement, and other conduct that may violate this Section. We may also limit messaging, applications, invitations, posting frequency, visibility, or other functionality where reasonably necessary to protect the Services and their users.
r. Account Restrictions and Other Measures. If we reasonably believe that you have engaged in spam, abusive communications, artificial activity, manipulation, or other conduct prohibited by this Section, we may remove or restrict the relevant content or activity, limit your access to features, reduce or suspend visibility, impose temporary or permanent restrictions, suspend or terminate your account, or take other appropriate measures, subject to applicable law and our other policies.

a. General Prohibition. You may not use the Services to engage in, facilitate, attempt to facilitate, or knowingly assist fraud, deception, misrepresentation, scams, or other dishonest or fraudulent activity. b. Accuracy of Information. Information you provide through the Services, including information contained in your profile, CV or resume, job applications, Job Listings, Employer or recruiter profile, communications, or other User Content, must be accurate and not materially misleading. You must not knowingly misrepresent material facts or knowingly omit material information where the omission would make the information materially misleading.

Candidates must not knowingly misrepresent or falsify material information relating to their identity, qualifications, education, professional certifications, employment history, skills, experience, work authorisation, availability, or other information provided for recruitment or employment purposes.
d. Employer and Recruiter Misrepresentation. e. Fraudulent or Non-Genuine Job Opportunities. You may not conduct or facilitate phishing, credential theft, account takeover, fraudulent login requests, or similar scams.
i. Impersonation and False Affiliation. You may not falsely represent that you are another person, organisation, employer, recruiter, hiring manager, Candidate, or other entity, or falsely claim to be affiliated with, authorised by, employed by, or acting on behalf of another person or organisation. Conduct covered by this paragraph is also subject to Section 3.3 (Impersonation and Identity Misuse).
j. Fraudulent Verification and Trust Signals. You may not create, obtain, use, transfer, or manipulate verification badges, identity checks, Employer verification, Candidate verification, reviews, ratings, endorsements, references, or other trust or authenticity indicators through fraudulent, deceptive, unauthorised, or misleading means.

l. Unauthorised Use of Another Person's Information. You may not create an account, profile, application, Job Listing, or other submission using another person's identity or personal information without appropriate authorisation. You must not knowingly submit information on behalf of another person in a manner that falsely represents that person's identity, qualifications, intentions, or consent.
m. Deceptive Communications and Marketplace Relationships. You may not use messages, Job Listings, applications, profiles, or other communications or interactions to knowingly deceive or materially mislead another user concerning the purpose, identity, source, destination, legitimacy, or nature of a communication or opportunity. You may not deliberately exploit a purported recruitment, employment, candidate, employer, or professional relationship created through the Services as a means of obtaining money, personal information, credentials, access, or other benefits through deception.
n. Conduct Facilitated Through the Services. The restrictions in this Section apply where the Services are used to initiate, facilitate, coordinate, or materially assist fraudulent, deceptive, or materially misleading conduct, even if the conduct, communication, transaction, or resulting harm occurs partly or entirely outside the Services.
o. Your Own Checks. You are responsible for exercising appropriate judgement and carrying out any verification or due diligence that is appropriate for your circumstances (see also Section 12.3).
p. Ordinary Errors and Good-Faith Conduct. This Section is intended to address fraudulent, deceptive, or materially misleading conduct and does not, by itself, prohibit an ordinary mistake, inadvertent error, reasonable difference of opinion, or good-faith disagreement that does not otherwise violate these Terms or applicable law.
q. Reporting Suspected Fraud. If you become aware of suspected fraud, scams, impersonation, fraudulent Job Listings, fraudulent Candidate activity, or other deceptive conduct involving the Services, you may report the activity through the reporting or support channels we make available. You must not knowingly submit false, fraudulent, or malicious reports against another user.
r. Investigation and Verification. We may investigate suspected fraud, deception, misrepresentation, scams, or other dishonest activity and may use automated systems, human review, verification processes, or other reasonable measures for this purpose. Where appropriate, we may request additional information or documentation to verify an account, identity, organisation, job opportunity, transaction, or other activity.
s. Protective Measures and Enforcement. If we reasonably believe that an account, communication, job posting, application, transaction, verification process, or other activity may involve fraud, deception, material misrepresentation, impersonation, or other prohibited conduct, we may take measures reasonably necessary to protect the Services and their users, including removing or restricting content, limiting account functionality, removing verification or trust indicators, restricting communications or applications, delaying or preventing transactions, suspending or terminating accounts, preventing future access, or taking other action permitted by applicable law.
t. Cooperation with Authorities. We may preserve, disclose, or provide information concerning suspected fraudulent, deceptive, or unlawful activity where we reasonably believe that doing so is necessary or appropriate to comply with applicable law, respond to lawful requests, protect our rights or the rights and safety of users or others, or prevent, detect, investigate, or address fraud or other unlawful activity.
u. Relationship to Other Provisions. This Section supplements the other restrictions contained in these Terms, including those relating to impersonation, false or misleading content, privacy and personal information, automated access, spam, platform manipulation, and intellectual property infringement. Conduct may violate more than one provision of these Terms.
3.10 Intellectual Property Infringement
a. General Prohibition. You may not use the Services to upload, submit, publish, reproduce, distribute, display, modify, transmit, or otherwise use content or materials in a manner that infringes, misappropriates, or violates the intellectual property or other proprietary rights of another person or organisation.
b. Intellectual Property Rights. For purposes of this Section, intellectual property rights include copyright, trademarks, service marks, patents, trade secrets, database rights, design rights, rights in software, rights in confidential information, rights of publicity, and other proprietary or intellectual property rights recognised under applicable law.
c. Copyrighted Materials. You may not upload, publish, reproduce, distribute, modify, or otherwise make available copyrighted material through the Services unless you own the material, have obtained the necessary rights or permissions, or are otherwise legally entitled to use and provide it.
d. Third-Party Content. You are responsible for ensuring that any photographs, videos, graphics, documents, software, text, databases, job descriptions, logos, trademarks, or other materials you submit to the Services may lawfully be used, reproduced, displayed, distributed, or otherwise made available in the manner contemplated by these Terms.
e. Candidate Materials. Candidates may not submit CVs, resumes, portfolios, work samples, photographs, cover letters, certifications, documents, or other materials belonging to another person or organisation without the necessary rights or authorisation. You must not knowingly submit another person's proprietary or copyrighted work as your own.
f. Employer and Recruiter Materials. Employers and recruiters may not submit job descriptions, company materials, logos, photographs, marketing materials, trademarks, or other proprietary content belonging to another person or organisation unless they have the necessary rights or authorisation to use such materials.
g. Job Listings and Marketplace Content. You may not copy, scrape, reproduce, republish, or substantially reproduce another user's Job Listing, Candidate Content, Employer content, or other proprietary marketplace content for use outside the Services or for your own commercial purposes where you do not have the necessary rights or authorisation. This restriction is in addition to the provisions concerning automated access, scraping, and data harvesting.
h. Trademarks and Branding. You may not use another person's or organisation's trademarks, trade names, logos, service marks, or other branding in a manner that is unauthorised, misleading, or likely to create confusion regarding sponsorship, affiliation, endorsement, or authority.
i. Trade Secrets and Confidential Information. You may not use the Services to disclose, upload, distribute, or otherwise make available another person's or organisation's trade secrets or confidential proprietary information where you do not have the right or authorisation to do so.
j. User Rights and Representations. By submitting User Content, you represent that you own the content or have obtained all rights, licences, permissions, and authorisations necessary to submit it to the Services and to grant the rights described in these Terms. You further represent that your submission and our permitted use of the content will not knowingly infringe or violate the rights of another person or organisation.
k. Rights-Holder Notices. If you believe that content available through the Services infringes your intellectual property rights, you may notify us through the intellectual property or copyright reporting procedure we make available. We may request information reasonably necessary to evaluate the report, including identification of the protected work, identification of the allegedly infringing material, and information sufficient to contact the reporting party.
l. Removal and Restriction of Content. Where we receive a credible complaint, notice, legal request, or other information indicating that content may infringe or violate intellectual property rights, we may, where appropriate and permitted by applicable law, remove, restrict, disable access to, or otherwise limit the relevant content or functionality while the matter is reviewed.
m. Repeat Infringement. We may suspend or terminate accounts, restrict access to the Services, or take other appropriate measures against users who repeatedly infringe or are reasonably believed to be repeatedly infringing the intellectual property rights of others.
n. No Obligation to Adjudicate Rights. We are not required to determine disputed ownership or infringement claims between users or third parties. We may take reasonable measures in response to complaints, notices, legal requirements, or other circumstances, but responsibility for establishing and enforcing intellectual property rights remains with the relevant rights holder.
o. Reservation of Rights. Nothing in this Section grants you any ownership interest or other rights in another person's intellectual property except as expressly authorised by the owner or permitted by applicable law.
3.11 Security and Unauthorised Access
a. Unauthorised Access. You may not access, attempt to access, or otherwise obtain access to any account, system, server, network, database, application, API, administrative interface, restricted feature, or other component of the Services that you are not authorised to access.
b. Account Credentials. You may not obtain, use, disclose, share, sell, or otherwise misuse another person's passwords, authentication credentials, access tokens, session information, recovery codes, or other credentials without appropriate authorisation.
c. Authentication and Access Controls. You may not bypass, disable, defeat, circumvent, or attempt to circumvent authentication mechanisms, access controls, permissions, security measures, rate limits, session controls, or other mechanisms designed to restrict or regulate access to the Services.
d. Restricted Areas and Functions. You may not attempt to access or use functionality, information, systems, or areas of the Services that are restricted to particular users, account types, roles, subscriptions, administrators, Employers, recruiters, Candidates, or other authorised persons.
e. Unauthorised API and Technical Access. You may not access or interact with APIs, application endpoints, databases, servers, internal services, developer interfaces, webhooks, or other technical systems except through the interfaces, credentials, permissions, and methods that we expressly make available or authorise.
f. Privilege Escalation. You may not attempt to obtain permissions, privileges, functionality, or access rights beyond those assigned to your account or role, including by exploiting vulnerabilities, manipulating requests, modifying parameters, or otherwise circumventing technical restrictions.
g. Security Testing and Vulnerability Exploitation. You may not conduct penetration testing, vulnerability scanning, security testing, probing, exploitation, or other security research against the Services without our prior written authorisation. You may not intentionally exploit a vulnerability or security weakness to obtain unauthorised access, information, privileges, or functionality.
h. Credential Harvesting and Account Takeover. You may not use the Services to obtain or attempt to obtain another person's credentials, authentication codes, access tokens, or other security information, or to take control of another person's account through deception, technical exploitation, or other unauthorised means.
i. Unauthorised Account Use. You may not access, use, or control another person's account without appropriate authorisation. You may not use another person's active session, credentials, access token, or other authentication mechanism to access the Services.
j. Employer and Organisation Accounts. Where an Employer or organisation authorises multiple individuals to access an account or workspace, each individual must use the access rights assigned to them. You may not continue to access an employer or organisation account after your authorisation to do so has ended or been withdrawn.
k. Security Measures. You may not disable, remove, avoid, interfere with, or otherwise circumvent security features or mechanisms implemented to protect the Services, users, accounts, content, systems, or information.
l. Unauthorised Disclosure of Access Information. You may not publish, distribute, sell, transfer, or otherwise make available credentials, authentication tokens, private access links, API keys, or other information that could reasonably enable unauthorised access to the Services or another user's account.
m. Responsible Security Reporting. If you identify a potential security vulnerability or weakness in the Services, you should report it to us through the security or support channels we make available. Unless expressly authorised by us, you must not exploit the vulnerability, access information belonging to other users, modify or delete data, disrupt the Services, or publicly disclose the vulnerability before we have had a reasonable opportunity to investigate and address it.
n. Protective Measures. We may take reasonable measures to protect the Services, users, and systems from suspected or actual unauthorised access or security threats. These measures may include terminating active sessions, requiring additional authentication, resetting credentials, disabling access tokens or integrations, restricting technical access, temporarily limiting account functionality, or suspending or terminating accounts.
o. Investigation and Cooperation. Where we reasonably believe that unauthorised access, credential misuse, account compromise, or another security violation has occurred, we may investigate the activity and take appropriate protective measures. We may preserve or disclose relevant information where reasonably necessary to comply with applicable law, respond to lawful requests, protect our rights or the rights and safety of users or others, or investigate suspected unlawful activity.
p. Relationship to Other Restrictions. This Section applies in addition to the restrictions concerning automated access, scraping and data harvesting, interference with the Services, malware and harmful code, circumvention of platform controls, and other prohibited conduct contained in these Terms. Conduct may violate more than one provision of these Terms.
3.12 Malware and Harmful Code
a. General Prohibition. You may not use the Services to upload, submit, transmit, distribute, introduce, store, or otherwise make available any malware, malicious software, harmful code, or other material that is designed or reasonably likely to damage, disrupt, disable, impair, compromise, monitor, or obtain unauthorised access to any system, device, account, network, Service, data, or information.
b. Malicious Software. You may not upload, distribute, transmit, or otherwise make available through the Services any virus, worm, Trojan horse, ransomware, spyware, keylogger, rootkit, botnet software, or other malicious software or code.
c. Harmful Code and Scripts. You may not use the Services to distribute or introduce malicious or harmful scripts, macros, commands, executable code, payloads, browser code, or other programming designed to cause unauthorised or harmful activity.
d. Malicious Files and Attachments. You may not upload or transmit files, documents, attachments, or other content that contain malicious code or are intentionally designed to damage, corrupt, encrypt, delete, disable, alter, or otherwise interfere with systems, devices, software, data, or information.
e. Credential Theft and Surveillance. You may not use the Services to distribute or facilitate software, code, files, links, or other mechanisms designed to secretly capture passwords, authentication credentials, access tokens, keystrokes, communications, personal information, financial information, or other sensitive information, or to monitor another person's activity without appropriate authorisation.
f. Ransomware and Destructive Code. You may not use the Services to distribute or facilitate ransomware, destructive code, data-encryption mechanisms, data-destruction mechanisms, digital extortion tools, or other software or code designed to deny access to, destroy, corrupt, or compromise data or systems.
g. Delivery and Distribution. You may not use the Services to deliver, facilitate the delivery of, or encourage another person to access malware or harmful code, including through messages, job applications, CVs or resumes, portfolios, Job Listings, attachments, profiles, links, integrations, APIs, or other features of the Services.
h. Malicious Links and External Resources. You may not knowingly use the Services to distribute links or references to external resources that are intended to deliver malware, harmful code, credential-stealing mechanisms, or other malicious software or activity.
i. Security-Control Evasion. You may not use malware, harmful code, malicious files, or other technical mechanisms to disable, evade, bypass, or interfere with security controls, malware detection, sandboxing, authentication mechanisms, monitoring systems, or other protective measures implemented by us or third parties.
j. No Circumvention of Security Restrictions. The prohibitions in this Section apply regardless of whether the harmful software or code is designed to obtain unauthorised access, circumvent a security measure, or otherwise interfere with a system. Conduct involving unauthorised access or attempts to bypass access controls is also subject to Section 3.11 (Security and Unauthorised Access).
k. File and Link Security Measures. We may use automated or manual security measures to scan, analyse, detect, quarantine, block, restrict, or remove files, links, messages, content, or other materials that we reasonably believe may contain malware or harmful code or otherwise present a security risk.
l. Blocking and Quarantine. Where content, files, links, accounts, integrations, or other activity are reasonably suspected of presenting a malware or security risk, we may delay, prevent, quarantine, restrict, remove, or disable access to the relevant material or functionality without prior notice where reasonably necessary to protect the Services, users, or systems.
m. Compromised Accounts and Systems. If we reasonably believe that an account, credential, integration, device, or other access mechanism has been compromised or is being used to distribute malware or harmful code, we may take protective measures, including terminating active sessions, disabling credentials or integrations, restricting account functionality, requiring additional verification, suspending the account, or terminating the account.
n. Security Incidents. Where appropriate, we may investigate suspected malware, harmful-code, or other security incidents and may preserve or disclose relevant information where reasonably necessary to comply with applicable law, respond to lawful requests, protect the Services or users, investigate suspected unlawful activity, or mitigate an actual or potential security threat.
o. Your Own Security. You remain responsible for maintaining appropriate security measures on your own devices, systems and accounts (see also Section 12.5).
p. Enforcement. A violation of this Section may result in removal or restriction of content, blocking of files or links, disabling of integrations or credentials, suspension or termination of accounts, restriction of access to the Services, or other measures we reasonably consider necessary to protect the Services and their users.
q. Relationship to Other Restrictions. This Section applies in addition to the restrictions concerning unauthorised access, interference with the Services, automated access, scraping, circumvention of platform controls, fraud, and other prohibited conduct contained in these Terms. Conduct may violate more than one provision of these Terms.
3.13 Circumvention of Fees or Transactions
a. General Prohibition. You may not intentionally circumvent, avoid, manipulate, or interfere with any fees, charges, subscription requirements, usage limits, payment obligations, transaction requirements, or other commercial terms applicable to your use of the Services.
b. Avoidance of Applicable Fees. You may not take any action for the purpose of avoiding fees or charges that are properly payable under these Terms, an applicable order, subscription, pricing plan, or other agreement governing your use of the Services. This includes manipulating usage, transactions, account information, service selections, or other information in order to reduce or avoid amounts properly due.
c. Off-Platform Transactions. Where a fee, charge, or other payment obligation applies to a transaction, introduction, service, recruitment activity, or other activity facilitated through the Services, you may not deliberately move, restructure, conceal, or complete that activity outside the Services for the primary purpose of avoiding an applicable fee or payment obligation.
d. No General Prohibition on Off-Platform Activity. Nothing in this Section prohibits users from communicating, interviewing, hiring, engaging, or otherwise interacting outside the Services where such activity is otherwise lawful and permitted under the applicable terms. The restriction applies where the off-platform activity is undertaken specifically to circumvent a fee, charge, subscription requirement, or other contractual payment obligation.
e. Circumvention Through Contact Information. You may not use contact information, messages, images, documents, coded language, links, or other features of the Services in a manner specifically designed to circumvent technical or contractual mechanisms intended to enforce applicable fees, charges, or transaction requirements.
f. Subscription and Feature Circumvention. You may not bypass or attempt to bypass subscription requirements, paid-feature restrictions, usage limits, access controls, or other limitations applicable to your account or subscription. You may not obtain or use paid functionality through another person's account or credentials without appropriate authorisation.
g. Multiple or Related Accounts. You may not create, control, or use multiple accounts for the purpose of avoiding fees, resetting subscription or trial eligibility, circumventing usage limits, obtaining promotional benefits more than once where prohibited, or otherwise avoiding commercial restrictions applicable to your account.
h. Free Trials, Credits and Promotional Offers. You may not abuse free trials, promotional pricing, discounts, credits, referral benefits, coupons, or other promotional offers, including by creating accounts using false information, repeatedly obtaining benefits intended to be available only once, transferring benefits without authorisation, or otherwise circumventing the conditions of the relevant offer.
i. Billing and Transaction Information. You may not knowingly provide false, misleading, incomplete, or manipulated information concerning your identity, business, usage, transactions, subscription status, billing information, payment status, or eligibility for a particular pricing plan or promotional offer for the purpose of avoiding or reducing amounts properly payable.
j. Payment Information. You may not use another person's payment information, payment account, payment method, or financial credentials without appropriate authorisation. You may not use stolen, fraudulent, unlawfully obtained, or otherwise unauthorised payment information in connection with the Services.
k. Employer, Recruiter and Candidate Transactions. Employers, recruiters, Candidates, and other users may not deliberately structure, disguise, or redirect recruitment activities, introductions, engagements, or other transactions facilitated through the Services for the purpose of avoiding fees or charges that are properly applicable to those activities. Nothing in this provision prevents legitimate recruitment decisions, communications, employment relationships, or other lawful activity that is not undertaken to circumvent an applicable payment obligation.
l. No False Payment Claims. You may not falsely claim that a fee, invoice, subscription, transaction, or other amount has been paid, cancelled, refunded, credited, or otherwise resolved when it has not been.
m. Exploitation of Errors or Technical Issues. You may not knowingly exploit a technical error, billing error, pricing error, promotional error, or other malfunction for the purpose of obtaining Services, credits, subscriptions, features, or other benefits without paying amounts properly due.
n. Relationship to Fraud. Conduct intended to circumvent fees or transactions through deception, stolen payment information, false identity, or other fraudulent means may also violate the provisions concerning fraud, deception, and misrepresentation in these Terms.
o. Investigation and Verification. We may review account activity, usage, transactions, subscription information, and other relevant information where reasonably necessary to identify suspected fee circumvention, payment abuse, promotional abuse, or other violations of this Section, subject to applicable law and our Privacy Policy.
p. Enforcement. Where we reasonably determine that you have circumvented or attempted to circumvent applicable fees, charges, subscriptions, or transaction requirements, we may take appropriate action, including restricting or suspending access to paid features, cancelling improperly obtained promotional benefits or credits, correcting account or billing records, requiring payment of amounts properly due, suspending or terminating accounts, or taking other lawful measures available to us.
3.14 Artificial or Manipulated Activity
a. General Prohibition. You may not create, generate, manipulate, or facilitate artificial activity or other activity intended to create a false or misleading impression of genuine interest, engagement, popularity, demand, credibility, activity, or performance on the Services.
b. Fake or Artificial Accounts. You may not create, maintain, control, or use fictitious, deceptive, automated, or otherwise artificial accounts for the purpose of generating activity, engagement, applications, interactions, visibility, or other platform signals that do not represent genuine user activity. This does not prohibit multiple accounts or organisation accounts where expressly permitted by us and used for legitimate purposes.
c. Fake Applications and Recruitment Activity. You may not submit, generate, solicit, or facilitate applications, expressions of interest, interviews, recruitment interactions, or other activity that does not represent genuine recruitment activity, where the purpose or reasonably foreseeable effect is to artificially increase application numbers, engagement, visibility, performance metrics, or other marketplace signals.
d. Artificial Engagement. You may not artificially generate or manipulate views, clicks, likes, follows, shares, saves, connections, messages, profile visits, applications, responses, endorsements, or other forms of engagement in order to increase the apparent popularity, relevance, visibility, credibility, or performance of an account, profile, Job Listing, Employer, Candidate, or other content.
e. Manipulated Reviews, Ratings and Endorsements. Where the Services provide reviews, ratings, recommendations, endorsements, feedback, or similar functionality, you may not submit, procure, exchange, coordinate, or facilitate false or misleading reviews, ratings, recommendations, endorsements, or feedback. You may not use multiple accounts or other persons to artificially influence such information.
f. Search, Ranking and Recommendation Manipulation. You may not intentionally manipulate or attempt to manipulate search results, rankings, matching results, recommendations, visibility, relevance indicators, or other ranking or discovery mechanisms through artificial activity, misleading information, excessive repetition, keyword manipulation, coordinated engagement, or other means designed to obtain visibility or placement unrelated to genuine relevance or activity.
g. Automated or Coordinated Activity. You may not use bots, scripts, automated accounts, software, coordinated account networks, or other technical or organisational mechanisms to generate artificial activity or manipulate marketplace signals. This restriction does not prohibit automation or integrations that we expressly authorise.
h. Incentivised or Compensated Activity. You may not pay, compensate, reward, pressure, or otherwise improperly incentivise another person to generate artificial views, clicks, applications, reviews, ratings, follows, endorsements, engagement, or other activity for the purpose of manipulating the Services. Legitimate promotional or incentive programmes expressly authorised by us are not prohibited.
i. Duplicate or Misleading Job Listings. Employers and recruiters may not create, maintain, or repeatedly publish substantially identical, misleading, or unnecessary Job Listings for the purpose of artificially increasing visibility, occupying search results, resetting listing position, inflating job-posting activity, or otherwise manipulating the Services. This does not prohibit legitimate reposting or updating of a genuine vacancy where permitted by the applicable Service.
j. Manipulation of Marketplace Metrics. You may not artificially inflate, suppress, distort, or otherwise manipulate application counts, views, clicks, response rates, engagement statistics, Candidate or Employer activity, conversion metrics, performance indicators, or other statistics or measurements generated by the Services.
k. Misleading Representation of Activity. You may not knowingly use artificial or manipulated activity to represent that a person, Employer, Candidate, Job Listing, service, opportunity, or other content has received genuine interest, engagement, applications, recommendations, reviews, endorsements, or other activity when it has not.
l. Detection and Verification. We may use automated systems, statistical analysis, technical signals, account information, human review, verification procedures, and other reasonable measures to detect, investigate, prevent, or address suspected artificial or manipulated activity. We do not guarantee that these measures will identify all artificial activity or that they will always distinguish artificial activity from legitimate activity.
m. Investigation of Coordinated Activity. Where we reasonably believe that accounts, listings, applications, interactions, or other activity are being coordinated for the purpose of manipulating the Services, we may investigate related accounts, content, transactions, and activity to the extent reasonably necessary and permitted by applicable law.
n. Removal and Adjustment of Artificial Activity. We may remove, disregard, invalidate, restrict, or otherwise modify artificial or manipulated activity and may adjust associated metrics, rankings, recommendations, visibility, or other platform signals where reasonably necessary to maintain the integrity of the Services.
o. Verification Requirements. We may require additional verification or information where reasonably necessary to determine whether an account, listing, application, review, interaction, or other activity represents genuine activity or complies with these Terms.
p. Enforcement. Where we reasonably determine that you have engaged in or facilitated artificial or manipulated activity, we may remove or restrict relevant content or activity, invalidate applications or engagement, adjust associated metrics, restrict visibility or access to features, require verification, suspend or terminate accounts, or take other reasonable measures consistent with these Terms and applicable law.
3.15 Competitive and Commercial Misuse
a. General Prohibition. You may not use the Services, or any data, content, functionality, infrastructure, or information made available through the Services, for unauthorised commercial exploitation, competitive purposes, or other purposes that are inconsistent with the intended use of the Services or these Terms.
b. Unauthorised Commercial Use. You may not use the Services as infrastructure for an external commercial service, product, database, or business activity where that use is not authorised by us. This includes reselling, sublicensing, commercially exploiting, or providing third parties with access to functionality or resources made available to you through the Services without our authorisation.
c. Competitive Use of Platform Resources. You may not use the Services or information obtained through the Services to develop, operate, support, or improve a competing product or service where doing so involves unauthorised use of our data, proprietary information, functionality, infrastructure, search results, matching systems, rankings, recommendations, or other protected resources.
d. Competitive Intelligence and Monitoring. You may not systematically collect, monitor, analyse, or extract information from the Services for the purpose of developing competitive intelligence, commercial datasets, market-monitoring products, or other competitive resources where such activity is not authorised by us.
e. User and Marketplace Data. You may not use, extract, compile, sell, license, transfer, or otherwise commercially exploit Candidate information, Employer information, profiles, CVs or resumes, applications, Job Listings, contact information, search results, recommendations, marketplace metrics, or other information obtained through the Services except as expressly permitted by the Services, these Terms, or an applicable agreement with us.
f. External Databases and Datasets. You may not use information obtained through the Services to create or populate an external candidate database, Employer database, recruitment database, contact database, commercial dataset, directory, lead list, or similar resource where that use is not expressly authorised.
g. Lead Generation and Solicitation. You may not use the Services primarily as an unauthorised source of leads, contacts, or prospect information for unrelated commercial marketing, sales, recruitment, or solicitation activities. This restriction applies in addition to the provisions concerning spam, unsolicited communications, scraping, and data harvesting.
h. Unauthorised Resale and Redistribution. You may not sell, license, lease, distribute, publish, redistribute, sublicense, or otherwise provide third parties with access to platform data, search results, profiles, Job Listings, marketplace information, or other resources obtained through the Services where such activity is not expressly authorised.
i. Replication of Services. You may not use the Services or information obtained from them to reproduce, replicate, reverse engineer for commercial replication, or materially recreate our search, matching, recommendation, ranking, marketplace, database, or other proprietary functionality, except to the extent expressly permitted by applicable law or authorised by us.
j. Automated Competitive Collection. You may not use bots, scripts, crawlers, automated tools, APIs, browser automation, or other technical means to systematically collect information from the Services for competitive, commercial, resale, benchmarking, dataset-building, or other unauthorised purposes. This restriction applies in addition to Section 3.7.
k. Commercial Exploitation of Search and Matching Results. You may not systematically extract, reproduce, sell, redistribute, or commercially exploit search results, candidate matches, job matches, recommendations, rankings, relevance signals, or other outputs generated by the Services except as expressly permitted through the relevant functionality or agreement.
l. Misuse of Platform Relationships. You may not use relationships, introductions, contact information, or other connections obtained through the Services to conduct unrelated commercial activity in a manner that is prohibited by these Terms, the applicable Service, or an agreement with us.
m. Unauthorised Representation or Affiliation. You may not represent, imply, or suggest that you are authorised to act on behalf of, affiliated with, endorsed by, or commercially partnered with us where no such relationship exists. You may not use our name, trademarks, branding, or other identifiers in a manner that creates a misleading impression of affiliation or endorsement.
n. Commercial Analysis and Benchmarking. You may not systematically extract or use non-public information, proprietary functionality, or other protected resources from the Services to conduct commercial benchmarking, performance analysis, product comparison, or competitive research where such activity is not authorised by us. Nothing in this provision prevents lawful comparison, commentary, research, or discussion based on information that you independently obtained or that is otherwise lawfully available to you.
o. Permitted Commercial and Professional Use. Nothing in this Section prohibits legitimate use of the Services for the purposes expressly supported by the Services, including employment, recruitment, hiring, job searching, professional networking, candidate sourcing, Employer activities, or other authorised commercial or professional activities. Employers, recruiters, agencies, Candidates, and other authorised users may use the Services in accordance with these Terms and the applicable Service.
p. Third-Party Services and Integrations. Where we expressly provide APIs, integrations, exports, feeds, or other mechanisms for commercial or professional use, you may use them only in accordance with the applicable documentation, terms, permissions, usage limits, and agreements. You may not use an authorised integration as a means of obtaining access to data or functionality beyond the scope for which it was provided.
q. Privacy and Data Protection. Nothing in this Section grants you a right to access, collect, use, disclose, or otherwise process personal information beyond what is permitted by applicable law, our Privacy Policy, the relevant Service, and any applicable agreement. You remain responsible for ensuring that your use of personal information obtained through the Services complies with applicable legal requirements.
r. Enforcement. Where we reasonably determine that you have engaged in unauthorised competitive or commercial misuse, we may restrict or disable relevant features, APIs, integrations, exports, or access permissions; remove or restrict content; require you to cease the relevant activity; suspend or terminate accounts; and take other lawful measures reasonably necessary to protect the Services, users, data, and our legitimate business interests.
s. Relationship to Other Restrictions. This Section applies in addition to the restrictions concerning automated access, scraping and data harvesting, interference with the Services, circumvention of platform controls, circumvention of fees or transactions, artificial or manipulated activity, intellectual property infringement, privacy, and other prohibited conduct contained in these Terms. Conduct may violate more than one provision of these Terms.
3.16 Reporting and Enforcement
a. Reporting Violations. You may report suspected violations of these Terms, including suspected fraud, abuse, prohibited content, security issues, misleading information, or other misuse of the Services, through the reporting tools, support channels, or other contact methods that we make available from time to time.
b. Information in Reports. Where reasonably possible, reports should include sufficient information to help us understand and investigate the concern, such as the relevant account, profile, Job Listing, content, activity, date, or other identifying information, together with supporting information or evidence where available.
c. Good-Faith Reporting. You must not knowingly submit false, misleading, malicious, or abusive reports, or use reporting mechanisms for the purpose of harassing, intimidating, retaliating against, or improperly restricting another user. An honest report that we ultimately determine does not establish a violation will not, by itself, constitute a violation of this Section.
d. Investigation of Suspected Violations. We may investigate suspected violations of these Terms, applicable law, or other rules governing the Services. Where reasonably necessary, we may review relevant content, account information, activity, transactions, communications, technical information, or other information available to us, subject to applicable law and our Privacy Policy.
e. Requests for Information. Where reasonably necessary to investigate a suspected violation, we may request additional information or clarification from you. You agree to provide accurate and reasonably relevant information in response to such requests where required to comply with these Terms or to enable us to protect the Services and their users.
f. Monitoring and Detection. We may use automated systems, technical measures, statistical analysis, fraud and abuse detection tools, security monitoring, content moderation systems, human review, and other reasonable methods to identify, prevent, investigate, or address suspected violations, security threats, fraud, abuse, or other harmful activity.
g. No General Obligation to Monitor. We are not obligated to monitor all content, communications, accounts, transactions, or activity on or through the Services for violations of these Terms. Our decision to monitor, review, investigate, or take action in relation to particular activity does not create an obligation to monitor, review, investigate, or take action in relation to other activity, except where otherwise required by applicable law.
h. Content and Activity Review. Where reasonably necessary and permitted by applicable law, we may review, restrict, disable, remove, or otherwise act upon content or activity that we reasonably believe violates these Terms, applicable law, or other rules governing the Services, or that presents a security, legal, or material risk to the Services, users, or third parties.
i. Protective and Interim Measures. Where we reasonably believe that immediate action is necessary to protect users, the Services, our systems, or third parties, we may take temporary or interim measures while an investigation is pending. These measures may include restricting account functionality, limiting visibility, disabling messaging, blocking content or files, suspending listings, disabling integrations or API access, requiring additional verification, or temporarily suspending an account.
j. Removal and Restriction. We may remove, disable, restrict, limit visibility of, or otherwise prevent access to content, profiles, listings, accounts, communications, files, links, or other activity that we reasonably believe violates these Terms, applicable law, or other applicable rules, or that presents a material risk to the Services or their users.
k. Suspension. The grounds on which we may suspend or restrict access are set out in Section 15.2.
l. Termination. The grounds on which we may close an account are set out in Section 15.3.
m. Repeated or Serious Violations. Repeated violations, deliberate violations, or conduct that creates a significant risk of harm to users, the Services, our systems, or third parties may result in stronger enforcement measures, including suspension or termination of access.
n. Account and Technical Restrictions. In addition to account-level measures, we may restrict or disable particular technical or commercial access mechanisms, including API credentials, integrations, sessions, devices, access tokens, payment or promotional benefits, or other functionality, where reasonably necessary to prevent or address a violation, security incident, fraud, abuse, or other prohibited activity.
o. Appeals. You can ask us to review an enforcement decision under Section 16.2.
p. Cooperation with Authorities. We may cooperate with courts, regulators, law enforcement agencies, governmental authorities, or other authorised third parties where reasonably necessary or legally required, including in connection with suspected unlawful activity, fraud, security incidents, threats to safety, or other matters falling within their lawful authority.
q. Preservation and Disclosure. We may preserve or disclose information where we reasonably believe doing so is necessary to comply with applicable law, respond to lawful legal process or governmental requests, investigate suspected unlawful activity, protect the rights, property, or safety of us, our users, or others, or establish, exercise, or defend legal claims, in each case subject to applicable law and our Privacy Policy.
r. Other Remedies. Section 18.7 applies to our rights and remedies.
s. Proportionate and Lawful Enforcement. We will apply enforcement measures in accordance with these Terms and applicable law. The nature and extent of any action may depend on the circumstances, including the seriousness and frequency of the conduct, the potential or actual impact on users or the Services, applicable legal requirements, and relevant information available to us.
t. Relationship to Other Provisions. The reporting and enforcement mechanisms in this Section apply in addition to any specific rights, restrictions, remedies, or protective measures set out elsewhere in these Terms. A particular violation may result in multiple measures where reasonably necessary and permitted by applicable law.
4. Jobs and Recruitment
4.1 The Recruitment Marketplace
We provide an online jobs marketplace. Candidates can use it to search for and discover work opportunities, and Employers can use it to advertise opportunities, search for Candidates who have chosen to be discoverable and communicate with them. We are not an employment business: we do not employ or supply workers, select or appoint Candidates, or make recruitment or hiring decisions for Employers, and we do not act as the agent or representative of any Employer or Candidate, except where we expressly agree otherwise in a separate written agreement.
Recruitment decisions, including whether to contact, shortlist, interview, reject, employ or engage a Candidate, are the Employer's decisions, and we do not make them on an Employer's behalf. Our search, matching, scoring, recommendation and messaging tools help Employers and Candidates find relevant information; using them is not a recruitment decision by us. Any contract of employment or engagement is made directly between the Employer or Hiring Organisation and the Candidate, and we are not a party to it.
Employers are responsible for carrying out the checks that are required by law or appropriate to the role before a Candidate starts work. Depending on the role and the country, these may include checks of the Candidate's identity, qualifications, professional registrations, experience and right to work, safeguarding and criminal-record checks, and any immigration, regulatory or professional requirements that apply. We do not carry out these checks for Employers.
4.2 Job Listings
Employers may use the Services to publish Job Listings. Job Listings that Employers publish are Employer Content and are subject to Sections 2.5 (Employer Content) and 2.7 (Content Standards), and to the prohibitions on false, misleading and fraudulent content in Sections 3.4 and 3.9. The Employer is responsible for the accuracy, lawfulness and availability of each Job Listing it publishes.
Each Job Listing that an Employer publishes must clearly state:
(a) who is advertising the role and, where the advertiser is recruiting on behalf of another organisation, that it is doing so and the identity of the Hiring Organisation where required by law;
(b) the job title and the main duties of the role;
(c) the work location, or whether the role is remote or hybrid;
(d) whether the role is permanent, fixed-term, temporary, contract, freelance or voluntary;
(e) pay information, where applicable law requires it to be included in the advertisement or provided before interview; and
(f) how to apply, in a way that meets the requirements of Section 4.3.
Job Listings must not be limited to, or aimed primarily at, people under 18, because the Services are available only to people aged 18 or over (Section 1.1).
By publishing a Job Listing, the Employer represents and warrants to us that the Job Listing, and the selection criteria and recruitment process it describes, comply with the Equality Act 2010 and any other applicable equality and anti-discrimination law. We may rely on this representation.
Recruitment agencies remain responsible for complying with the regulatory requirements that apply to their advertisements and recruitment activities, including the Conduct of Employment Agencies and Employment Businesses Regulations 2003.
Search results include Job Listings posted directly by Employers and Job Listings we aggregate from various online sources, such as company career sites and applicant tracking system feeds. Job Listings we aggregate are not Employer Content, because the Employer has not submitted them to us. Their application links take you to the employer's own website or system, where you can check the details and apply (Section 4.3). We do not guarantee that they are accurate, current or complete, and a role may have changed, been withdrawn or been filled since we aggregated the Job Listing (Section 12.3).
If you represent the organisation that advertised a role and want us to correct or remove a Job Listing we have aggregated, contact us at support@lavoop.com. Once we have checked that the request comes from that organisation, we will correct or remove the Job Listing within a reasonable time.
We may take action in relation to Job Listings as described in Section 2.8.3.
4.3 Applying for Jobs
Where a Job Listing directs you to apply on a website or system operated by or for the Employer, such as the Employer's careers site or applicant tracking system, your application is submitted to the Employer and not through us. Information you provide there is collected by the Employer under its own terms and privacy notice, and we do not receive it unless you or the Employer choose to share it with us. We may record that you followed an application link, as described in our Privacy Policy.
Employers must ensure that each application link:
(a) leads to a genuine application process for the role described in the Job Listing, operated by or on behalf of the Employer or Hiring Organisation;
(b) does not require the Candidate to pay any fee or buy any product or service; and
(c) collects personal information only for the purposes of that recruitment process, and is accompanied by a privacy notice that meets applicable data protection law.
Employers' websites and systems are Third-Party Services, and Section 8 applies to your use of them.
4.4 Communications Between Employers and Candidates
Employers can contact Candidates through Lavoop's messaging feature, and we may notify Candidates of new messages by email, SMS, WhatsApp or Telegram, according to their notification settings. Messages sent through the Services are User Content and are subject to Sections 2.7, 2.8 and 3.8. Employers may use messaging only to contact Candidates about genuine work opportunities.
Candidates' email addresses and phone numbers are hidden from Employers by default. An Employer must make its first contact with a Candidate through Lavoop messaging, and the Candidate decides whether to reply. The Employer may contact the Candidate by email, telephone or any other means only after the Candidate has agreed, for example by giving their contact details in a reply. This applies even if the Employer has found the Candidate's contact details elsewhere. A Candidate can block an Employer, which stops that Employer sending them messages, and can report a message as abuse or spam (Section 3.16). Employers must also comply with the privacy and electronic communications laws that apply to any contact they make.
Interviews, assessments and later stages of recruitment are arranged and run by the Employer. We are not obliged to monitor communications between users, but we may review them as described in Section 2.8.1.
4.5 Recruitment Practices
Employers must not use the Services in connection with any recruitment practice that requires a Candidate to:
(a) pay any fee, deposit or other charge to the Employer, a recruitment agency or any other person, or buy any product or service, in order to apply, be interviewed, be considered for a role or receive an offer; or pay for training, equipment, a uniform, a background or criminal-record check, visa sponsorship or anything else needed to start a role, unless applicable law permits that cost to be passed to the Candidate and the Job Listing clearly states it;
(b) carry out unpaid work, other than a reasonable and proportionate assessment task that is clearly described in advance, or a genuinely voluntary role advertised as such; or
(c) hand over passports, identity documents or other personal documents to be retained by the Employer or any other person, other than copies taken for lawful pre-employment checks.
Employers must also:
(d) not ask Candidates about their health or disability before offering them work, except as permitted by section 60 of the Equality Act 2010 or equivalent applicable law;
(e) make reasonable adjustments to their recruitment process where required by law; and
(f) not ask Candidates about their current or previous pay where applicable law prohibits it.
We may take action in relation to breaches of this Section as described in Section 2.8.
5. Platform Services
5.1 The Services
The Services include:
(a) for Candidates: job search, Job Listings, a personalised job feed based on your profile, your CV and your activity (Sections 5.2 and 5.3), job alerts, a profile and CV storage, gap analysis and career tools, and the paid features described in Section 5.4; and
(b) for Employers: publishing and managing Job Listings, searching the profiles of Candidates who have chosen to be discoverable, downloading redacted versions of their CVs, communicating with Candidates, candidate scoring and analytics, and related recruitment tools. These tools support Employers' own recruitment; they do not mean that we make recruitment decisions for Employers.
We provide the Services with reasonable care and skill. Some Services are free and some are paid. Section 9 explains which features are paid and how fees, subscriptions, renewals and cancellations work. Your right to access and use the Services is set out in Section 10. Availability of the Services and changes to them are dealt with in Section 5.5 and Section 17.
5.2 Search, Ranking and Matching
We use automated systems to order search results, recommend Job Listings to Candidates and, where a Candidate has made their profile discoverable, suggest Candidates to Employers. These results and suggestions help users find relevant information; they are not a judgement that a Candidate is suitable for a role, or that anyone should make a particular recruitment decision. The main factors that determine ranking are:
(a) how closely a Job Listing or profile matches the search terms, filters and preferences used;
(b) relevance factors such as how closely a Candidate's CV matches the requirements in a Job Listing (Section 5.3), skills, experience, job title, location, and the date a Job Listing was published or updated;
(c) your activity on the Services, such as searches you have made and Job Listings you have viewed or saved; and
(d) whether a Job Listing is sponsored.
Candidates can find jobs in two ways: a personalised feed, which recommends Job Listings based on your profile, your CV and your activity on the Services, and an all jobs page, where you can search and browse every Job Listing on the Services without personalisation based on your profile, your CV or your activity.
Sponsored or promoted Job Listings may be shown more prominently than other results and are labelled as sponsored. Candidates cannot pay to improve how their profile is ranked or shown to Employers.
We change our ranking and matching systems from time to time. Our Privacy Policy explains how we use personal data for ranking and personalisation.
5.3 Candidate Scoring and Analytics
When a Candidate adds a CV, we score it against Job Listings, comparing the CV and profile with each Job Listing's requirements. We score every Candidate who has added a CV, whether or not their profile is discoverable, because scoring is how the personalised feed matches Candidates with Job Listings (Section 5.2). A Candidate who does not want to be scored can choose not to add a CV and use the all jobs page. Candidates are told this when they add a CV and in their discoverability settings.
Where a Candidate's profile is discoverable, Employers can also view scores and related analytics that compare the Candidate's profile with the requirements in the Employer's Job Listing. Employers can find discoverable Candidates through several features of the Services, some of which use scoring, and scoring is part of how discoverable profiles work: it cannot be switched off separately. Scores are calculated centrally by us. Employers can filter Candidates by criteria such as location or skills, but filtering does not change a Candidate's score. A Candidate who makes their profile not discoverable can no longer be found by Employers through search or any other feature of the Services, and Employers no longer see scores about them, although we continue to score their CV for their own personalised feed. This does not affect information the Candidate has already shared with an Employer, such as messages or a CV they sent. A score indicates potential relevance only; it is not a decision that a Candidate is qualified, suitable or likely to be hired.
Scores are produced by an AI Feature and are subject to Section 6, including the requirements for human decision-making in Section 6.3. Scoring is designed not to use information about a Candidate's protected characteristics, special category data or criminal offence data, and we test it for unfair bias (Sections 6.4 and 7.4).
Scores and related analytics can be viewed only within the Services and cannot be downloaded or exported (Section 10.4). We may update how scores are calculated. A score reflects the Candidate's profile and the Job Listing at the time it was produced, and scores produced at different times, or by different versions of our scoring, may not be comparable.
5.4 Gap Analysis and Career Tools
Candidates can use gap analysis to see how their profile compares with the requirements of a Job Listing, and paid subscribers can access a detailed requirement-by-requirement analysis and CV improvement suggestions. These are AI Features, and Section 6 applies to them. Career tools give automated feedback; they are not personalised advice from a careers professional.
Career tools are separate from our job search and job alert services. You do not need to buy any paid feature to search for jobs, receive job alerts, keep a profile or be found by Employers, and buying a paid feature does not change how your profile is ranked or shown to Employers.
Your gap analysis and other career-tool results are visible only to you unless you choose to share them. Paid features are subject to Section 9, including your cancellation rights in Section 9.6.
5.5 Availability of the Services
We aim to keep the Services available, but we may need to suspend all or part of them temporarily for maintenance, updates, security or technical reasons. Where reasonably practicable, we will give advance notice of planned maintenance that is likely to significantly affect paid features. Changes to the Services are dealt with in Section 17.
5.6 Beta Features
We may offer some features as beta, preview or experimental features ("Beta Features") and will label them as such. Beta Features may be less reliable than other features, and we may change or withdraw them at any time. Some Beta Features may be paid features. If so, we will tell you the price before you buy, Section 9 applies, and Section 17.1 applies if we change or withdraw a paid Beta Feature. Labelling a paid feature as a Beta Feature does not affect your rights under Section 12.1. We do not make Beta Features that score, rank or assess Candidates available to Employers for live recruitment until they meet the safeguards that apply to our other recruitment AI Features. We also test and experiment with the Services as described in Section 2.3.8(h).
5.7 Job Alerts and Notifications
You can set up job alerts and saved searches, and we will send you alerts based on the criteria you choose. We may also send you recommended Job Listings that may suit you, as described in Section 11.3. Where we make the feature available, Employers can also set up alerts about new discoverable Candidates who match their Job Listings. You can change or turn off alerts and recommendations at any time in your account settings or by using the unsubscribe link in each message. Section 11 and our Privacy Policy explain how we send communications and how you can manage your preferences.
6. AI Features
6.1 AI Features
Some features of the Services use artificial intelligence or machine-learning models ("AI Features"). AI Features are identified as such in the Services, and Section 5 of our Privacy Policy explains how they work, what information they use and the choices available to you. Examples include candidate scoring (Section 5.3), gap analysis and CV improvement suggestions (Section 5.4).
Some AI Features use models provided by third-party technology providers, who act on our behalf (Section 8.4). Before we send information to these providers, we remove names, contact details and other information that directly identifies you. Removing these identifiers does not make the information anonymous, and we continue to treat it as personal data.
We do not use your CV or profile to train AI models unless you agree. If you agree, you can withdraw your agreement at any time, as described in Section 2.3.9(f).
AI Features are designed to assist Candidates and Employers. They do not replace your own judgement.
6.2 AI Output
Scores, analyses, suggestions, text and other results generated by an AI Feature ("AI Output") can be inaccurate, incomplete, inconsistent or out of date, and may misunderstand the information they are based on. You should review AI Output before relying on it.
If you add AI Output to your profile, CV, application, Job Listing or other content, the result is your User Content, and you are responsible for it in the same way as any other content you submit, including under Sections 2.4, 2.5, 2.6, 3.4 and 3.9. For example, if a CV suggestion overstates your experience or qualifications, you must correct it before using it.
Section 10.4 explains how you may use AI Output generated for you.
6.3 Human Decision-Making and Employer Responsibilities
Our recruitment AI Features are designed to support decisions made by Employers, not to make them. Where any feature of the Services involves a significant decision about you based solely on automated processing, we will tell you, and you will be able to make representations, ask for human review and contest the decision, as described in Section 16.3.
Employers must keep meaningful human oversight of any recruitment decision in which they use AI Output. This means that a person with the authority and competence to change the outcome reviews the decision and takes into account relevant information other than the AI Output. In particular, Employers must not:
(a) reject, shortlist or progress a Candidate based solely on a score, gap analysis or other AI Output, or configure any tool to do so automatically;
(b) use AI Output to identify or infer a Candidate's protected characteristics, or to treat a Candidate less favourably because of them;
(c) use AI Output for any purpose other than their own recruitment activities carried out in accordance with these Terms; or
(d) fail to give Candidates any information about the use of AI Output that applicable law requires the Employer to give.
Employers must make reasonable adjustments where an AI-assisted assessment may put a disabled Candidate at a disadvantage. Section 14.1 (Employer Indemnity) applies to an Employer's breach of this Section.
6.4 Fairness and Bias
Automated systems can reflect limitations or historical patterns in the data used to build them. We take steps designed to identify and reduce unfair bias in our recruitment AI Features, including testing before release and monitoring after release. We cannot guarantee that AI Output will be free from bias, and Employers remain responsible for ensuring that their use of AI Output complies with equality law. Our processing of personal data in connection with AI Features is described in Section 7 and our Privacy Policy.
7. Privacy and Personal Information
7.1 Our Privacy Policy and Related Notices
Our Privacy Policy explains how we collect, use, share and protect personal data when you use the Services, including the lawful bases we rely on, how long we keep personal data, how we transfer it outside the United Kingdom and the rights available to you. Section 5 of our Privacy Policy explains how personal data is used in AI Features, and our Cookie Policy explains how we use cookies and similar technologies.
These documents explain how we process personal data. They do not form part of these Terms, and accepting these Terms does not mean that you consent to any processing of personal data. Where we rely on your consent for a particular use, we will ask for it separately, and you can withdraw it at any time.
This Section 7 sets out how responsibility for personal data is divided between us, Candidates and Employers. Restrictions on how you may use other people's personal information are in Section 3.6, and your responsibilities when you provide personal data about other people are in Section 2.6.6.
7.2 Our Role and the Role of Employers
We are the controller of the personal data we process to provide and operate the Services, including account information, Candidate profiles and CVs, scores and other AI Output, and information about how the Services are used, as described in our Privacy Policy.
When an Employer views, saves, downloads, contacts a Candidate about or otherwise uses information about a Candidate that it obtains through the Services, the Employer decides how it uses that information and is responsible for that use as a separate controller. The same applies to information a Candidate provides directly to an Employer, including on the Employer's own website or system under Section 4.3.
This Section describes how we and Employers use personal data through the Services. Each party's legal role is ultimately determined by data protection law, and our Privacy Policy explains our role in more detail.
7.3 Employers' Data Protection Responsibilities
In addition to the restrictions in Section 3.6, an Employer that obtains personal data through the Services must:
(a) give Candidates the privacy information required by data protection law, including, where the Employer obtains a Candidate's details from the Services rather than from the Candidate, within the time required by law and at the latest when it first contacts the Candidate;
(b) deal with requests and complaints from Candidates about personal data the Employer holds, including requests to access, correct or delete it;
(c) make sure its authorised users know that we process their personal data to provide the Employer Account, by directing them to our Privacy Policy;
(d) transfer Candidate information outside the United Kingdom only in compliance with data protection law; and
(e) tell us without undue delay if it becomes aware of any unauthorised access to, or loss or misuse of, personal data obtained through the Services, and give us the information and cooperation we reasonably request.
If we have agreed separate data protection terms with an Employer, those terms prevail over this Section to the extent of any conflict.
7.4 Information Candidates Choose to Share
You decide what to include in your profile and CV. You do not need to include special category data, such as information about your health, ethnic origin, religious or philosophical beliefs, sexual orientation, political opinions or trade union membership, or information about criminal convictions. If you choose to include it, Employers may be able to see it in line with your visibility settings under Section 2.4.4.
Our candidate scoring is designed not to use special category data or criminal offence data, even if you include it in your profile or CV, and we test it for unfair bias (Sections 5.3 and 6.4).
Employers based outside the United Kingdom can view your profile only if it is discoverable and you have included their country in the locations you have chosen for your job search. For example, if your job search covers the United Kingdom and Italy, Employers based in Italy may be able to view your profile. Our Privacy Policy explains how we protect personal data in these circumstances.
You can object to Employers being shown scores about you, and to us suggesting your profile to Employers, as explained in our Privacy Policy. Because these are part of how discoverable profiles work, objecting to them, or making your profile not discoverable yourself, means that Employers can no longer find your profile (Section 5.3). Before acting on an objection, we will tell you that your profile will stop being discoverable. We will still score your CV to personalise your own job feed, which is part of the service you signed up for; if you do not want your CV to be scored at all, you can remove it. This does not affect information you have already shared with an Employer.
7.5 Your Data Protection Rights and Complaints
Depending on the circumstances, you have rights in relation to your personal data, including rights to access, correct and delete it, to restrict or object to its use, and to data portability. Our Privacy Policy explains these rights and how to exercise them in relation to personal data we hold. Requests about personal data held by an Employer, including information you gave an Employer on its own website or system, should be made to that Employer.
If you are concerned about how we use your personal data, you can complain to us by email to privacy@lavoop.com, as described in our Privacy Policy. We will acknowledge your complaint within 30 days and respond without undue delay. You also have the right to complain to the Information Commissioner's Office. If you are in the EU, you can also contact our EU representative, whose details are in our Privacy Policy, and complain to the data protection authority in the EU country where you live or work, or where you think the problem happened. Other complaints about the Services are dealt with in Section 16.
8. Third-Party Services
8.1 What Third-Party Services Are
In these Terms, "Third-Party Services" means websites, applications, systems, content and services that are provided by someone other than us and that you access through, or connect to, the Services. They include:
(a) Employers' careers sites and applicant tracking systems (Section 4.3);
(b) sign-in services, such as Google or Apple accounts (Section 1.2);
(c) integrations and connected accounts that you or an Employer choose to enable (Section 2.3.6);
(d) job distribution partners, search engines and social networks on which Job Listings or other content may appear or be shared (Sections 2.3.6(c) and 2.3.10);
(e) payment accounts, such as digital wallets, that you choose to use to pay for paid features (Section 9);
(f) other websites linked from the Services, including links in Job Listings and User Content;
(g) AI assistants and other software that you connect to the Services, for example through a connector (Section 10.5); and
(h) messaging services, such as WhatsApp or Telegram, through which you choose to receive messages from us (Section 11.1).
Third-Party Services do not include the providers that help us operate the Services on our behalf. Those providers are covered by Section 8.4.
8.2 Your Use of Third-Party Services
Third-Party Services are provided by the relevant third party, not by us. Your use of a Third-Party Service is governed by that third party's own terms and privacy notice, and any contract for it is between you and that third party. You are responsible for reviewing those terms before you use the Third-Party Service and for complying with them.
Information you give to a Third-Party Service, including through a link or an integration, is collected and used by that third party under its own privacy notice. Section 2.3.6 and our Privacy Policy explain what information we share with Third-Party Services and when.
8.3 Links and Employer Websites
The Services may contain links to Third-Party Services, including application links in Job Listings and links that users include in their content. A link does not mean that we endorse, verify or control the linked site or its content.
Before you give personal information or money to anyone through a linked site, check that the site is genuine. A legitimate Employer should not ask you to pay to apply for or be considered for a role (Section 4.5). If you think a link in a Job Listing or other content is fraudulent or unsafe, report it as described in Section 3.16. We may remove or disable links as described in Section 2.8.
8.4 Providers We Use to Deliver the Services
We use third-party providers to help us provide and operate the Services, including providers of hosting and data storage, security and fraud prevention, communications, analytics, payment processing and AI models. These providers act on our behalf under contracts with us, as described in Section 2.3.5 and our Privacy Policy, although some, such as our payment service provider, also process certain information for their own legal and regulatory purposes (Section 9.2).
We remain responsible to you for the Services we provide under these Terms, including the parts of the Services that we deliver using these providers.
8.5 Connecting Third-Party Accounts and Integrations
Section 1.2 explains how third-party sign-in works, and Section 2.3.6 explains what information we exchange when you enable an integration and how to disconnect it. By connecting a Third-Party Service to your account, you confirm that you are entitled to do so and to allow that information to be exchanged. Some integrations may be subject to additional terms that we show you when you enable them, and those terms apply in addition to these Terms.
9. Fees, Subscriptions and Payments
9.1 Paid Features
Many of the Services are free. We also offer optional paid features for Candidates, such as more detailed analysis of how your CV compares with a Job Listing, and paid features for Employers, such as sponsored Job Listings (Section 9.9). The features included in each paid plan, its price and its billing period are described on our pricing page and in the order process, and we will confirm them to you by email after you buy.
Paid Candidate features are optional. Section 5.4 explains how they relate to our job search services.
9.2 Prices, Payment and Taxes
Prices shown to Candidates include VAT. Before you confirm a purchase, we will show you the total price, the billing period, and when and how you will be charged. When you buy a paid plan, you authorise us to charge your chosen payment method the fees for that plan at the start of each billing period, including on each renewal date, until you cancel.
Payments for paid features are processed by our third-party payment service provider. When you pay, your card or other payment details are collected and processed by our payment service provider, and we do not receive or store your full card number. Our payment service provider processes payment information on our behalf to take payments and, under its own privacy notice, for its own purposes, such as preventing fraud and meeting its legal and regulatory obligations.
If you choose to pay using a digital wallet or another payment account, that wallet or account is a Third-Party Service (Section 8).
If a payment fails, we will tell you and may try to take the payment again. If we still cannot take payment, we may suspend your access to the relevant paid features until the payment is made. This does not affect your access to the free Services.
9.3 Subscriptions and Automatic Renewal
Paid Candidate features are available as monthly or annual subscriptions. Your first billing period starts when you buy your subscription or, if you start with a free trial, when the trial ends. Each billing period lasts for the period you choose. At the end of each billing period, your subscription will renew automatically for a further period of the same length unless you cancel before the renewal date. We will charge your payment method at the start of each renewal period.
If a renewal payment fails, we will email you and may retry the payment. We will keep your access to the paid features for three days after the failed payment while you update your payment method. If payment has not been made by the end of those three days, we may suspend your access to the paid features until payment is made or end your subscription. Suspending access does not cancel any payment that is already due.
Before you subscribe, we will tell you the price, billing period, renewal date and how to cancel. We will email you a reminder of the price, renewal date and cancellation method at least seven days before each monthly renewal, and at least 30 days and again at least seven days before each annual renewal.
9.4 Free Trials
We may offer Candidates a free trial of paid Candidate features lasting 15 days. The trial's start and end dates, the features included and any usage limits will be shown before you start. You do not need to provide a payment method to start the trial, and we will not charge you for the trial.
The price and billing period that will apply if you choose a paid subscription will be shown before you subscribe. Starting a free trial does not, by itself, sign you up to a paid subscription. If you choose a paid subscription during the trial, you authorise us to start that subscription and charge you for its first billing period when the trial ends, with subsequent renewals as explained in Section 9.3. The free trial itself is never charged. You may cancel that subscription before the trial ends using the cancellation method in Section 9.5. If you do not choose a paid subscription, your access to the paid features ends when the trial ends.
We will email you a reminder at least three days before the trial ends. Section 9.3 explains the reminders we send before subscription renewals.
You may use only one free trial in total. This limit applies regardless of how many accounts you create or use. Section 3.13 prohibits misuse of free trials and other promotional offers.
9.5 Cancelling Your Subscription
You can cancel your subscription at any time in your account settings. If you subscribed online, you can always cancel online. Your cancellation takes effect at the end of your current billing period: you keep access to the paid features until then and will not be charged again. We will confirm your cancellation by email.
Cancelling a subscription does not close your account. Closing your account is dealt with in Section 15.
9.6 Your Right to Cancel Within 14 Days
If you are a consumer, you can cancel your subscription and receive a refund within 14 days of:
(a) the day you sign up for your subscription or for a free trial;
(b) the day a free trial ends and you are first charged; or
(c) the day an annual subscription renews.
To cancel within one of these periods, use the cancellation option in your account settings or contact us, telling us that you want to cancel. You do not need to give a reason.
If you cancel within one of these periods, we will refund what you paid for the current billing period, less an amount in proportion to the part of that period that has passed when you tell us. Where the period runs from the day you signed up without a free trial, we will make that deduction only if you asked for access to the paid features to start straight away. We will make the refund without undue delay, and in any event within 14 days of the day you tell us, using the payment method you used to pay.
9.7 Price Changes
We may change the price of a subscription, but not during a billing period you have already paid for. If the price of your subscription is going to increase, we will tell you at least 30 days before the renewal at which the new price will apply. If you do not want to pay the new price, you can cancel before that renewal and you will not be charged it.
9.8 Refunds
Except as set out in these Terms or where the law requires, payments are non-refundable, and cancelling a subscription does not entitle you to a refund for the current billing period. You are entitled to a refund:
(a) if you cancel within a cooling-off period under Section 9.6;
(b) if we end your subscription for a reason other than your breach of these Terms, in which case we will refund, on a pro-rata basis, the fees you paid for the rest of the billing period;
(c) if we make a change that materially reduces a paid feature and you cancel, as described in Section 17.1;
(d) where consumer law gives you a right to a refund or price reduction, for example if a paid feature is not provided with reasonable care and skill (Section 12.1);
(e) if we close your account because you are under 18 (Section 15.5);
(f) if you cancel because of a change to these Terms that materially disadvantages you (Section 17.4);
(g) if you cancel because an event outside our control prevents you from using paid features for more than 30 days in a row (Section 18.3); and
(h) if you are a consumer and you close your account because we have transferred these Terms to another organisation (Section 18.4).
If we end your subscription because you have seriously or repeatedly breached these Terms (Section 15), we will not refund fees for the current billing period, except where the law requires us to.
If you have disputed a payment with your bank or card issuer, we may not be able to process a refund until the dispute is resolved.
9.9 Employer Fees
9.9.1 Free and Sponsored Job Listings
You can publish up to three Job Listings free of charge in each calendar month, and each free Job Listing stays live for up to 30 days. You can also pay to sponsor a Job Listing, which gives it greater prominence in search results, recommendations and job alerts, as described in Section 5.2. Publishing a role yourself is free within this allowance even if the Services already show a Job Listing for the same role that we have aggregated, for example from your own career site.
9.9.2 Charges and Budgets
Sponsored Job Listings are charged on a pay-per-performance basis. When you sponsor a Job Listing, you choose a budget, and we charge you for billable activity on that Job Listing, such as clicks on the Job Listing or on its application link, at the rate and on the basis shown when you set up the sponsorship. Charges are calculated from our records of that activity, which are binding unless you show that they are wrong under Section 9.9.5.
We will not charge you more than the budget you set for the relevant period. If you pause, close or change a sponsored Job Listing, charges for activity before that change may appear on a later invoice, but they will not exceed your budget.
We filter out activity that we identify as invalid, such as automated or fraudulent clicks (Section 3.14), and we do not charge for it. You can pause or close a sponsored Job Listing at any time in your account, which stops further charges.
9.9.3 Billing and Payment
Before we start sponsoring a Job Listing, we may verify your payment method, which may include a temporary authorisation or an early invoice for a small amount.
We invoice you on the first day of each month for charges incurred in the previous month, or earlier if your charges reach the billing threshold shown in your account (currently £500). Unless we have agreed invoice payment terms with you in an order form, you must pay by card, and we will charge your card when each invoice is issued. Where invoice payment terms apply, each invoice is payable within 30 days of its date.
Prices for Employers exclude VAT, which is added to invoices where applicable. If an invoice is not paid on time, we may suspend sponsorship and other paid Employer features until it is paid, and we may charge interest and fixed compensation on late payments under the Late Payment of Commercial Debts (Interest) Act 1998. You must also pay our reasonable costs of recovering overdue amounts.
9.9.4 Employer Subscriptions
Some Employer features, such as candidate search and candidate scoring, are available as monthly or annual subscriptions. Employer subscriptions renew automatically for a further period of the same length unless you cancel. You can cancel a monthly subscription at any time before its renewal date. To stop an annual subscription renewing, you must cancel at least 30 days before the renewal date. After you cancel, you keep access until the end of the period you have paid for.
9.9.5 Refunds, Credits and Billing Disputes
Payments for Employer features are non-refundable, except as set out in Section 9.8(b) or where the law requires. If you think a charge is wrong, tell us within 60 days of the invoice date and explain why; otherwise the charge will be treated as accepted. If we agree that you have been charged incorrectly, we will correct the charge by issuing a credit for future use of the Services. Any other refund or credit is at our discretion.
Promotional credits are subject to the conditions shown with the offer, have no cash value, cannot be transferred and expire as stated in those conditions. Section 3.13 prohibits misuse of promotional offers.
9.9.6 Order Forms
If you and we sign an order form or similar agreement for paid Employer features, its terms apply to those features and prevail over this Section 9.9 to the extent of any conflict.
10. Intellectual Property
10.1 Licence to Use the Services
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to access and use the Services:
(a) if you are a Candidate, for your own job search and career purposes; and
(b) if you are an Employer, for your own recruitment activities, including, for recruitment agencies, recruiting on behalf of your clients.
An Employer's authorised users may use the Services under this licence on the Employer's behalf. You may not sublicense, sell, resell or otherwise make the Services available to anyone else, except as these Terms permit. This licence ends when your account is closed or when your access to the Services ends under Section 15.
10.2 Our Intellectual Property
Lavoop and our licensors own all intellectual property rights in the Services, including our software, websites and design, the text, graphics and other content we create, our AI Features and the models and methods behind them, our search, matching and scoring methods, and our compilations of Job Listings and other data, including any database rights. These materials are not User Content, and nothing in these Terms transfers them to you.
Taking substantial parts of our databases, or repeatedly and systematically taking smaller parts, is prohibited by Section 3.7 and may also infringe our database rights. Section 2.2 explains that you keep the rights you have in your own User Content, and Section 2.9 explains how we may use Feedback you give us.
10.3 Our Trade Marks
Lavoop, our logo and the other names, logos and marks we use for the Services are our trade marks, whether or not they are registered. You may refer to Lavoop by name and link to pages of the Services, for example to share a Job Listing or your profile, as long as you do not suggest that we sponsor, endorse or are affiliated with you or your products or services. You may not frame the Services or present our pages as part of another website. Any other use of our trade marks needs our prior written permission. Section 3.15(m) also prohibits misleading claims of affiliation.
10.4 Platform Output and AI Output
As between you and us, you may use AI Output generated for you for any lawful purpose, including outside the Services. To the extent we have any rights in that AI Output, we grant you a perpetual, irrevocable, worldwide, royalty-free licence to use it. This does not give you any rights in the AI Features or in the underlying models and technology.
Scores and related analytics that the Services generate for Employers (Section 5.3) belong to us. Employers may view and use them within the Services only for their recruitment activities under these Terms. Employers must not copy, extract or share scores or analytics outside the Services, and Section 3.15(k) prohibits their commercial exploitation. This does not affect a Candidate's data protection rights in relation to scores about them (Section 7.5).
Candidate Content that an Employer downloads, such as a CV, remains the Candidate's content and may be used only as described in Section 2.3.3(k).
10.5 Connectors and Developer Access
We may make parts of the Services available through connectors that let you use them through an AI assistant or other software you choose. If you use a connector:
(a) you may use it only to access the features and information that your account is permitted to access, and only for the purposes allowed by Section 10.1;
(b) you must comply with the documentation, usage limits and any additional terms we provide for the connector, and with Section 3.7;
(c) the AI assistant or other software you connect is a Third-Party Service (Section 8), and information you request through the connector is sent to it at your direction; and
(d) we may limit, suspend or withdraw the connector, or change what it can access, as described in Sections 3.16 and 17.1.
Content returned through a connector, including Job Listings, comes from users and other third parties. It may be inaccurate or may contain instructions intended to influence AI tools, so you should review what your AI assistant does with it.
10.6 Statutory Rights and Reserved Rights
Nothing in these Terms prevents you from doing anything that the law allows despite a contractual restriction, including making a back-up copy of software, decompiling software to the extent permitted for interoperability, or, within the limits set by law, extracting or reusing insubstantial parts of a database you are lawfully entitled to use. Section 3.10 explains how to report content that you believe infringes your rights. Except for the rights expressly granted in these Terms, we and our licensors reserve all rights in the Services.
10.7 Third-Party and Open-Source Components
Some parts of the Services include software or content licensed to us by third parties, including open-source software. Where those components come with their own licence terms, those terms apply to them.
11. Communications and Notices
11.1 How We Communicate With You
We may communicate with you through notifications in the Services, by email to the address linked to your account and, where you have given us your mobile number or connected a messaging account, by SMS, WhatsApp or Telegram. WhatsApp and Telegram are Third-Party Services, and their own terms and privacy notices apply to your use of them (Section 8). Electronic communications from us satisfy any requirement that a communication be in writing, unless the law requires otherwise. Where the law requires us to give you information in a form you can keep, such as confirmation of a purchase, we will send it by email.
You are responsible for keeping your contact details up to date (Section 1.2). For Employer Accounts, we may send communications to the account administrator, who is responsible for passing them on within the organisation. If we learn that a message could not be delivered, we will try to reach you another way where reasonably practicable.
We communicate in English. If you need our communications in a different format because of a disability, contact us and we will make reasonable adjustments.
11.2 Service and Account Messages
We send service messages that are needed to provide the Services and manage your account. These include messages about security and sign-in, purchases, payments and invoices, subscription and trial reminders (Section 9), new messages from Employers or Candidates (Section 4.4), changes to the Services or these Terms (Section 17), and action we take in relation to your account or content (Sections 2.8, 3.16 and 15). Service messages are not marketing, and you cannot opt out of them while you have an account, although you may be able to choose in your settings how some of them reach you.
11.3 Alerts, Recommendations and Marketing
Job alerts that you set up (Section 5.7) are sent based on the criteria you choose, and you can change or stop them in your settings at any time.
We may also send you newsletters, information about Lavoop's products and features, and recommendations of Job Listings that may suit you, including sponsored Job Listings, which we label as sponsored. We send these by email, SMS, WhatsApp or Telegram only with your agreement, or where the law allows us to without it, for example to tell existing customers about our own similar products. Apart from recommending Job Listings, we do not send marketing about other companies' products or services.
You can stop receiving marketing at any time, free of charge, by using the unsubscribe link or opt-out instructions in each message or by changing your settings. Stopping marketing does not affect service messages under Section 11.2. Our Privacy Policy explains how we use personal data for marketing.
11.4 Contacting Us and Notices to Us
You can contact us at support@lavoop.com or through the help section of the Services. Some matters have their own routes, which you should use so that we can deal with them quickly:
(a) cancelling a subscription: your account settings (Sections 9.5 and 9.6);
(b) reporting fraud, misuse or content that breaks these Terms: the reporting tools in the Services (Section 3.16);
(c) security vulnerabilities: support@lavoop.com (Section 3.11(m));
(d) intellectual property complaints: legal@lavoop.com (Section 3.10(k));
(e) privacy requests and complaints: privacy@lavoop.com, as described in our Privacy Policy (Section 7.5);
(f) Employer billing disputes: support@lavoop.com (Section 9.9.5); and
(g) appeals against our decisions: as described in Section 16.
Formal legal notices to us must be sent by email to legal@lavoop.com. A notice sent by email is treated as received on the next business day after it is sent, unless the sender receives a message saying that it was not delivered.
EU Digital Services Act. Our single point of contact for users and for authorities under the EU Digital Services Act is privacy@lavoop.com, which is answered by a person. You can write to us in English.
12. Disclaimers
12.1 Your Legal Rights
Nothing in these Terms excludes or limits any rights you have as a consumer that cannot lawfully be excluded or limited, any liability that cannot be excluded or limited under applicable law, or your rights under the Equality Act 2010 or data protection law. For example, if you are a consumer and you pay for a feature, you are entitled to have it provided with reasonable care and skill and as described to you, and nothing in this Section 12 affects that. Advice about your rights is available from Citizens Advice.
12.2 Recruitment Outcomes
We do not guarantee that using the Services will lead to any particular result, including that an application will be reviewed, that you will be contacted, interviewed, offered work or hired, that a Job Listing will attract applications or suitable Candidates, or that any Job Listing, Candidate or Employer will be suitable for you. Recruitment and hiring decisions are made by Employers (Section 4.1).
12.3 Information From Users and Third Parties
Job Listings, including those we aggregate from online sources, and profiles, CVs, messages and other User Content are provided by users and third parties, not by us. Except where we expressly say otherwise, we do not verify that information, including a Candidate's identity, qualifications, experience or right to work, or the accuracy, legality, pay or availability of a Job Listing. We may use automated checks, user reports and other reviews to detect suspected fraud, abuse, duplication or breaches of our policies, but these checks are not a verification of the information. Displaying or recommending content, or completing a verification check, does not mean that we endorse or guarantee the user, the content or the opportunity. You should make your own checks before relying on information provided through the Services.
Information we publish ourselves, such as articles, guides or salary and market data, is general information only. We take reasonable care over it, but it may not reflect your circumstances and may not be complete or up to date.
12.4 Search, Matching and Visibility
Search results, rankings, matches, scores, alerts and recommendations are produced automatically from the information available to us (Sections 5.2, 5.3 and 5.7). We do not guarantee any particular placement, ranking or visibility for a Job Listing or profile, that results will include every relevant Job Listing or Candidate, or that alerts or recommendations will be delivered at any particular time.
12.5 Availability and Security
Although we work to keep the Services available and secure (Section 5.5 and our Privacy Policy), we cannot guarantee that they will always be available, uninterrupted, timely or error-free, or that the Services, or files and links shared through them by other users, will be free from viruses, security vulnerabilities or other harmful components. You should keep your own devices and accounts secure (Section 1.2) and take care when opening files or links shared by other users.
12.6 Other Users
Employers and Candidates are independent of us. We do not control how other users behave, whether on or off the Services, and we do not guarantee that any user will act lawfully or honestly, keep a commitment it has made, or offer or pay what it has advertised. Any employment or other working relationship is between the Employer or Hiring Organisation and the Candidate (Section 4.1). If you have a concern about another user, report it as described in Section 3.16. This does not affect the action we take when we receive a report (Sections 2.8 and 3.16).
12.7 No Professional Advice
Information, tools and suggestions in the Services, including gap analyses, CV suggestions, scores, pay information and AI-drafted text, are not career, legal, employment, immigration, tax or financial advice. Employers remain responsible for making sure that their recruitment complies with the law (Sections 4.1, 4.2 and 4.5), and you should take professional advice where you need it.
12.8 Third-Party Services
Third-Party Services (Section 8.1), including Employers' websites and application systems, are provided by others. We do not control or guarantee their content, availability, security or privacy practices. This does not affect our responsibility for the providers we use to deliver the Services (Section 8.4).
12.9 AI Features
AI Features and AI Output are subject to the limitations described in Sections 6.2 and 6.4.
12.10 Business Users
If you use the Services in the course of a business, the Services are provided on the basis of the commitments set out in these Terms, and other terms that might otherwise be implied by law, including terms about quality and fitness for purpose, are excluded to the extent the law allows. Our commitment in Section 5.1 to provide the Services with reasonable care and skill still applies.
13. Limitation of Liability
13.1 What This Section Does Not Limit
Nothing in this Section 13 limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law, and nothing in it affects your rights under Section 12.1. Refunds you are entitled to under Section 9 are not affected by this Section and do not count towards the limits in it.
13.2 If You Are a Consumer
If you use the Services as a consumer:
(a) we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these Terms or failing to use reasonable care and skill. Loss or damage is foreseeable if it was an obvious consequence of our breach, or if you and we contemplated it when you started using the Services;
(b) we are not responsible for loss or damage that was not foreseeable;
(c) the Services are provided for your personal use, and we are not responsible for any loss of profit, loss of business, business interruption or loss of business opportunity; and
(d) subject to Section 13.1, our total liability to you for all claims arising out of or in connection with the Services or these Terms is limited to the greater of £100 and the total amount you paid us in the 12 months before the event giving rise to the claim.
13.3 If You Are a Business User
If you use the Services in the course of a business:
(a) we are not liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profits, revenue, business, contracts, goodwill or anticipated savings, any loss or corruption of data, or any business interruption, in each case whether direct or indirect, or for any indirect or consequential loss;
(b) subject to Section 13.1, our total aggregate liability to you for all claims arising out of or in connection with the Services or these Terms is limited to the greater of £100 and the total fees paid or payable by you to us in the 12 months before the event giving rise to the claim; and
(c) you must bring any claim against us within 12 months of the date on which you became aware, or ought reasonably to have become aware, of the facts giving rise to it, after which the claim is barred.
13.4 Loss Caused by Others
We are not liable for loss or damage caused by other users, by Third-Party Services, by your breach of these Terms, or by events outside our reasonable control (Section 18.3), except to the extent that the loss or damage was caused by our own breach of these Terms or our negligence. This does not affect our responsibility for the providers we use to deliver the Services (Section 8.4).
14. Indemnification
14.1 Employer Indemnity
If you are an Employer, you will indemnify us, our Affiliates and our and their officers, employees and agents against all losses, liabilities, damages, fines and penalties (to the extent the law allows them to be recovered), settlements, costs and expenses, including reasonable legal fees, that any of them suffers or incurs, whether as a result of a claim by a third party or directly, arising out of or in connection with:
(a) your breach of these Terms, including the representations and warranties in Sections 2.6 and 4.2;
(b) your Employer Content, including Job Listings and any content created with AI Features;
(c) your recruitment activities and decisions, including how you screen, contact, interview, assess, select or reject Candidates and how you use scores and other AI Output, including any claim by a Candidate;
(d) any actual or alleged breach by you of equality, employment, immigration, minimum wage, data protection, electronic communications or recruitment-agency law, including any claim that we caused, induced or helped that breach;
(e) your use of Candidate information, including CVs you download or that Candidates share with you, and contact details used in breach of Section 4.4;
(f) any fee or payment you seek from a Candidate, or any unpaid work you seek, in breach of Section 4.5;
(g) your employment or engagement of anyone below the minimum age permitted for the work, or any unlawful communication or contact between you and a person under 18, including contact that begins on the Services and continues elsewhere;
(h) the acts and omissions of your authorised users, and any claim by a client on whose behalf you recruit; and
(i) your use of connectors, AI assistants, applicant tracking systems or other Third-Party Services with information obtained through the Services.
14.2 Candidate Indemnity
If you are a Candidate, you will reimburse us for any claim brought against us by a third party, and for our reasonable costs of dealing with it, to the extent that the claim results from your deliberate breach of these Terms or your fraud, for example by knowingly providing false or fraudulent information, submitting content that you know infringes another person's rights, or deliberately misusing another person's personal information through the Services. This does not apply to honest mistakes.
14.3 How Indemnified Claims Are Handled
If we become aware of a claim that may be covered by Section 14.1 or 14.2, we will tell you within a reasonable time. Where Section 14.1 applies, we may choose either to conduct the defence and settlement of the claim ourselves, at your cost, or to let you conduct it with our prior written approval and under our supervision. In either case, you must give us the information and cooperation we reasonably request, and you must not settle or compromise any claim in a way that involves an admission by us, or imposes any obligation or liability on us, without our prior written consent. Where Section 14.2 applies, we will keep you informed and will not settle the claim without first giving you a reasonable opportunity to comment.
14.4 Scope and Limits
The amounts payable under this Section 14 are reduced to the extent that the loss was caused by our own breach of these Terms or our negligence. The limits in Section 13 apply only to our liability and do not limit any amount payable by you under this Section.
15. Suspension and Termination
15.1 Closing Your Account
You can close your account at any time in your account settings. If you manage an Employer Account, the account administrator can close the organisation's account, which ends access for all its authorised users. Closing your account cancels any subscription, and you will not receive a refund for the current billing period except as set out in Sections 9.6 and 9.8. Before closing your account, you may want to download any information you wish to keep; our Privacy Policy explains how to obtain a copy of your personal data.
15.2 Suspending or Restricting Access
We may suspend or restrict your account, or particular features, Job Listings or messaging, where we reasonably believe that:
(a) you have breached these Terms, while we investigate;
(b) your account presents a security, fraud or safety risk to users, the Services or others;
(c) suspension is required by law, by a regulator or by a lawful request;
(d) a payment due from you has not been made (Sections 9.2 and 9.9.3); or
(e) you may be under 18 (Section 1.1).
Any suspension or restriction will be proportionate to the reason for it and will last only as long as reasonably necessary. Where reasonably practicable, we will tell you what we have done and why, unless doing so would break the law, compromise an investigation or put anyone at risk. Where a suspension is based solely on automated processing and has a significant effect on you, Section 6.3 applies, and you can ask for it to be reviewed by a person under Section 16.
15.3 Closing Accounts and Ending These Terms
We may close your account and end these Terms with you:
(a) immediately, if you have seriously or repeatedly breached these Terms, including repeated infringement of intellectual property rights (Section 3.10(m));
(b) immediately, if we are required to do so by law, by a regulator or by a lawful request, or if your account presents a serious security, fraud or safety risk;
(c) immediately, if you are under 18 (Section 15.5);
(d) if you are a business user and a payment remains overdue after we have given you notice and at least 14 days to pay;
(e) if you have not signed in to your account for 24 months and you do not have a paid subscription, after giving you at least 30 days' notice by email, during which you can keep your account by signing in; or
(f) for any other reason, by giving you at least 30 days' notice, in which case Section 9.8(b) applies to any subscription you have paid for.
If we stop providing the Services altogether, Section 17 applies.
15.4 What Happens When an Account Is Closed
When your account is closed, whether by you or by us:
(a) your access to the account and to paid features ends, and your licence under Section 10.1 ends;
(b) any subscription ends, and refunds are dealt with under Section 9.8, or Section 15.5 for users under 18;
(c) amounts you already owe remain payable, including charges for sponsored activity up to the time of closure, which we may invoice after closure;
(d) your Job Listings are removed and your profile stops being visible to Employers;
(e) your User Content is dealt with as described in Section 2.3.11, and copies you have already shared, such as CVs downloaded by or shared with Employers, or applications made on Employers' own sites, remain with their recipients (Section 2.3.3(g));
(f) if you are an Employer, your obligations in respect of Candidate information you obtained through the Services continue (Sections 2.3.3(k), 3.6 and 7.3); and
(g) if we closed your account because of your breach, you may not create a new account without our permission (Section 1.1).
15.5 Users Under 18
If we close an account because the user is under 18, we will delete the personal data associated with it, except where we must keep it to comply with the law or to establish, exercise or defend legal claims, and we will refund everything paid for the account, using the payment method used to pay.
15.6 Reinstatement
If we suspend or restrict your account and later conclude that the suspension was not justified, we will restore your access as soon as reasonably practicable. If you have a paid subscription, we will extend it, or credit your account, for the period during which you could not use the paid features. You can ask us to review any decision to suspend, restrict or close your account under Section 16.
15.7 Provisions That Continue After Closure
The following provisions continue to apply after your account is closed or these Terms end, together with any other provision that by its nature is intended to continue: Sections 2.3.3(g) and (k), 2.3.11 (Licence Duration and Termination), 2.9 (Feedback and Suggestions), 3.6 (Privacy and Personal Information), the second paragraph of Section 4.4, 7.3 (Employers' Data Protection Responsibilities), 9 (in relation to amounts owed and refunds), 10.2 to 10.4 (Intellectual Property), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), 15.4 to 15.7, 16 (Appeals, Complaints and Disputes), 18 (General Legal Terms) and 19 (Governing Law and Jurisdiction).
16. Appeals, Complaints and Disputes
16.1 Complaints About the Services
If you are unhappy with the Services or with how we have dealt with you, you can complain through the help section of the Services or by email to support@lavoop.com. You can complain about any aspect of the Services, including content you believe is illegal, how we have handled a report you made, and whether we are meeting our legal obligations to keep users safe. We will acknowledge your complaint within 5 business days and aim to respond within 30 days. If we need longer, we will tell you why and when to expect our response.
Some matters have their own procedures: privacy complaints (Section 7.5), Employer billing disputes (Section 9.9.5), intellectual property complaints (Section 3.10(k)) and reports of misuse (Section 3.16).
16.2 Appealing Our Decisions
You can ask us to review a decision to:
(a) remove, restrict or refuse to publish your content or Job Listings (Sections 2.8 and 3.10);
(b) give you a warning or restrict features of your account; or
(c) suspend or close your account (Section 15).
To appeal, contact us at support@lavoop.com within 30 days of being told about the decision, explaining why you think it was wrong and including any information that supports your appeal. Where reasonably practicable, a person who was not involved in the original decision will carry out the review; otherwise, another suitably authorised person will look at the decision afresh. Either way, the reviewer will take account of the reasons for the original decision and the information you provide. If content was removed following a complaint from someone else, we may share relevant parts of your appeal with them. We will tell you the outcome and the reasons for it. If your appeal succeeds, we will reverse the decision as soon as reasonably practicable, and Section 15.6 applies. An appeal does not by itself lift a restriction while it is being considered.
16.3 Automated Decisions
If a decision covered by Section 6.3 was based solely on automated processing, you can ask for it to be reviewed by a person, tell us why you disagree with it and contest it, using the route in Section 16.2.
16.4 Resolving Disputes With Us
If you have a dispute with us, please first contact us at legal@lavoop.com with details of the dispute, so that we can try to resolve it. If you are a consumer, this does not affect your right to go to court, and Section 19 explains which courts can hear your claim.
If you are a business user and the dispute is not resolved within 30 days of your notice, a senior representative of each party will meet, in person or online, to try to resolve it. If the dispute is still not resolved within a further 30 days, the parties will try to settle it by mediation under the Model Mediation Procedure of the Centre for Effective Dispute Resolution (CEDR), and either party may start the mediation by giving written notice to the other. The mediator's fees will be shared equally. Neither party may start court proceedings about the dispute until 60 days after a mediation notice has been given or, if earlier, the end of the mediation. This does not prevent either party from seeking urgent relief from a court, or prevent us from bringing proceedings to recover unpaid amounts.
16.5 Disputes Between Users
Disputes between Employers and Candidates, including about recruitment decisions, job offers or employment, are between them, and we are not a party to them (Sections 4.1 and 12.6). We may, but are not obliged to, help users resolve such disputes. If a dispute involves a breach of these Terms, you can report it under Section 3.16.
17. Changes to the Services and these Terms
17.1 Changes to the Services
We may change, add or remove features of the Services where reasonably necessary: (a) to comply with law or regulatory guidance; (b) to address security, fraud or technical risks; (c) to reflect changes to third-party services we rely on; or (d) for legitimate commercial or operational reasons, including improving or reorganising the Services. If a change materially reduces a paid feature you have already paid for, we will give you at least 30 days' notice, unless the change is needed urgently for a reason in (a) or (b), in which case we will tell you as soon as reasonably practicable. You may then cancel the affected paid Service and receive a pro-rata refund of fees paid for the period after cancellation, as described in Section 9.8.
17.2 Stopping the Services
We may stop providing the Services, or a particular paid Service, altogether. If we do, we will give you at least 30 days' notice, unless the law requires us to stop sooner, in which case we will tell you as soon as we can. We will refund, on a pro-rata basis, any fees you have paid for the period after the Services stop (Section 9.8(b)), and give you an opportunity to download your information before your account closes, as described in our Privacy Policy. Section 15.4 applies when your account closes.
17.3 Changes to These Terms
We may change these Terms where reasonably necessary: (a) to reflect changes in law or regulatory guidance; (b) to reflect changes to the Services or to how we operate them; (c) to address security, fraud or abuse risks; or (d) to make the Terms clearer or easier to understand. Our Privacy Policy and Cookie Policy are not part of these Terms (Section 7.1) and may be updated as described in them or as the law requires. Price changes for subscriptions are dealt with in Section 9.7.
17.4 Notice of Changes and Your Choices
If we make a change to these Terms that materially affects your rights or obligations, we will give you at least 30 days' notice by email or in the Services before it takes effect. For other changes, such as clarifications or changes that do not reduce your rights, we will publish the updated Terms with a new 'last updated' date. Where a change is required urgently by law, or to address a security, fraud or abuse risk, it may take effect sooner, and we will tell you as soon as reasonably practicable.
If you do not agree to a change, you can close your account (Section 15.1) or cancel your subscription before the change takes effect. If you have a paid subscription and the change materially disadvantages you, you may cancel and receive a pro-rata refund of fees paid for the period after cancellation. If you continue to use the Services after a change takes effect, you will be bound by the updated Terms. The version of these Terms in force at the time continues to apply to anything that happened before a change took effect.
17.5 Versions
Each version of these Terms shows the date on which it takes effect. If you would like a copy of an earlier version that applied to you, contact us at legal@lavoop.com.
18. General Legal Terms
18.1 The Agreement and Order of Priority
Your agreement with us consists of these Terms and any order form or similar agreement you sign with us. If there is a conflict between them, an order form takes priority for the services it covers. Our Privacy Policy and Cookie Policy are not part of the agreement (Section 7.1).
18.2 Entire Agreement (Business Users)
If you use the Services in the course of a business, the agreement described in Section 18.1 is the entire agreement between you and us about its subject matter and replaces any earlier understanding. You confirm that you have not relied on any statement or promise that is not set out in that agreement. Nothing in this Section limits liability for fraud or fraudulent misrepresentation. If you are a consumer, this Section does not apply, and information we give you before you buy may form part of your contract with us.
18.3 Events Outside Our Control
We are not in breach of these Terms, and are not responsible for any delay or failure to perform them, to the extent that it is caused by an event outside our reasonable control, such as a failure of public telecommunications or internet networks, an outage affecting one of our providers that is itself caused by an event outside its reasonable control, a cyber-attack despite reasonable security measures, fire, flood, pandemic, industrial action by third parties, or action by a government or regulator. If such an event happens, we will tell you as soon as reasonably practicable and take reasonable steps to limit its effects. If it prevents you from using paid features for more than 30 days in a row, you may cancel the affected paid Service and receive a pro-rata refund of fees paid for the period after cancellation.
18.4 Transferring These Terms
You may not transfer your account, or your rights or obligations under these Terms, to anyone else without our prior written consent. We may transfer our rights and obligations under these Terms to another organisation, for example if we sell all or part of our business, and we will ensure that the transfer does not reduce your rights under these Terms. We will tell you in writing if we do this. If you are a consumer and you are unhappy with the transfer, you may end your agreement with us by closing your account, and we will refund, on a pro-rata basis, any fees you have paid for the period after closure. We may also use providers to perform our obligations, as described in Section 8.4.
18.5 Third-Party Rights
No one other than you and us has any right to enforce these Terms, except that our Affiliates and our and their officers, employees and agents may enforce Section 14.1. You and we may change or end these Terms without the consent of any of them.
18.6 Severability
If a court or other competent authority decides that any provision of these Terms is invalid, unlawful or unenforceable, that provision, or the relevant part of it, will be treated as removed, and the rest of these Terms will continue to apply.
18.7 No Waiver and Remedies
If we delay or do not enforce any of our rights under these Terms, that does not mean we have waived them, and we may still enforce them later. A waiver is effective only if it is in writing. Except where these Terms say otherwise, our rights and remedies under these Terms are in addition to any rights and remedies we have under the law.
19. Governing Law and Jurisdiction
19.1 Governing Law
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, including non-contractual disputes or claims, are governed by the law of England and Wales. If you are a consumer, you also benefit from any mandatory protections of the law of the country, or part of the United Kingdom, where you live.
19.2 Courts for Consumers
If you are a consumer, you can bring legal proceedings in the courts of England and Wales. If you live in Scotland, you can bring them in either the Scottish courts or the courts of England and Wales, and if you live in Northern Ireland, in either the Northern Irish courts or the courts of England and Wales. If you live outside the United Kingdom, you may also be able to bring proceedings in the courts of the country where you live.
19.3 Courts for Business Users
If you use the Services in the course of a business, the courts of England and Wales have exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms or their subject matter, including non-contractual disputes or claims, subject to Section 16.4. This does not prevent us from bringing proceedings to recover unpaid amounts, or to seek urgent relief, in the courts of any other country that have jurisdiction over you.
